Certification and Accreditation. In order to receive reimbursement, each facility of the THP must meet Centers for Medicare and Medicaid (CMS) certification and CMS conditions of participation, or must have accreditation through the Joint Commission or Accreditation Association for Ambulatory Heath Care (AAAHC). THP shall submit certification and accreditation information to VA upon written request within 15 business days.

The graph below details implementation timelines for IHS and THP agreements. Phase 1 of IHS implementation will begin in January 2013 and will extend for 6 months. Phase 2 will then be marked by expansion to other IHS facilities. The THP agreement implementation process is ongoing. How many AI/AN Veterans are estimated to fall under these agreements? Nationally, the estimate is about 48,000 for both IHS and THP Agreements. What direct care services will be reimbursed by VA under VA agreements with IHS and THP? Under the VA-IHS agreement and THP agreement, VA will reimburse only for direct care services provided in VA’s medical benefits package at 38 C.F.R. 17.38. Prior to providing care, it is recommended that the IHS/THP facility check with VA Health Eligibility Center or their local VAMC to determine whether a particular service is covered and that the Veteran meets any applicable eligibility criteria for the service. How will we know that the Veteran is registered with a Tribe? The Tribe is responsible for managing tribal memberships and each tribe sets their membership criteria. Can non-AI/AN Veterans also be covered under these agreements? This is contingent upon the capacity of the particular THP facility, the local VA’s medical center, and the Non-VA Care Program requiremetns must be stipulated in a separate agreement. In Alaska, non-AI/AN Veterans have been included in agreements with tribes due to the highly rural nature of the environment there. Tenant shall obtain and maintain (i) accreditation of the Hospital by the Joint Commission on Accreditation of Healthcare Organizations ("JCAHO") or an equivalent organization reasonably acceptable to both parties (an "Equivalent Organization"); (ii) certification as a psychiatric hospital under the Medicare program; and (iii) all necessary state licenses. Lessee shall pay all related application fees and associated costs in connection with such accreditation, certification and state licensure. Lessee shall perform all of its obligations under this Agreement in accordance with applicable federal, state and local laws and regulations. Tenant shall perform all acts necessary to maintain the Hospital as a psychiatric hospital for purposes of Medicare certification and state licensure. Landlord shall cooperate with and not hinder Tenant's efforts in obtaining and maintaining certification, licensure and accreditation.

Tenant will actively pursue (i) accreditation of the Hospital by the Joint Commission on Accreditation of Healthcare Organizations (“JCAHO”); (ii) certification as a long-term acute care hospital under the Medicare program and; (iii) issuance of all necessary state licenses and Certificates of Need, provided, however, that Tenant may obtain initial licensure as an acute rehabilitation hospital on the condition that the hospital be licensed as a long-term acute care hospital by the end of its seventh (7th) month of operation. Tenant will pay all related application fees in connection with such accreditation, certification and state licensure. Tenant will perform all of its obligations under this Agreement in accordance with applicable federal, state and local laws and regulations. Tenant will perform all acts necessary to maintain the Hospital as a long-term acute care hospital for purposes of Medicare certification and state licensure. In the event that Tenant shall fail to receive either state licensure or Medicare certification as a long-term acute care hospital (or as an acute rehabilitation hospital) within sixty (60) days of receiving an occupancy permit, or otherwise fails to obtain the accreditation, certification or licenses in the time frames set forth in subsections (i)-(iii) above, then Tenant and Landlord may terminate this Agreement without any liability (except for payment by Tenant to contractors for services and materials provided in connection with Tenant Improvements and debt service owed to repay any loans made from Landlord to Tenant pursuant to the separate loan agreement) on ten (10) days written notice to Landlord. Provided: If Tenant has not secured state licensure within three months after having received a Certificate of Occupancy from the appropriate regulatory authority, or by , 1998, whichever occurs first, then unless Tenant and Landlord mutually agree in writing to extend the time to obtain licensure, this Lease shall automatically terminate and neither party shall be liable to the other as a result of the termination (except for payment by Tenant to contractors for services and materials provided in connection with Tenant Improvements and debt service owed to repay any loans made from Landlord to Tenant pursuant to the separate loan agreement).
