Common use of Business Organization Clause in Contracts

Business Organization. Between the date of this Agreement and the Closing Date, Seller shall use its reasonable efforts, and shall cause Xxxxxxxxx and each of its Subsidiaries to use its respective reasonable efforts, to (a) preserve substantially intact the business organization of Xxxxxxxxx and each of its Subsidiaries and keep available the services of the present officers and employees of Xxxxxxxxx and each of its Subsidiaries, and (b) preserve in all material respects the present business relationships and good will of Xxxxxxxxx and each of its Subsidiaries.
