Breach by UHN. In the event that UHN commits a material breach of any License Agreement and such License Agreement is terminated as a result of such breach, VistaGen shall delegate to Apollo, or pursue at Apollo’s written request and expense, any cause of action that VistaGen may have pursuant to the terms of the applicable License Agreement.
