Common use of Binding Effect of Agreement Clause in Contracts

Binding Effect of Agreement. This Agreement and each of the other Transaction Documents to which it is a party constitutes the legal, valid and binding obligation of such Originator enforceable against such Originator in accordance with its terms, except as such enforceability may be limited by bankruptcy, insolvency, reorganization or other similar laws affecting the enforcement of creditors’ rights generally and by general principles of equity, regardless of whether enforceability is considered in a proceeding in equity or at law.

Binding Effect of Agreement. This Agreement and each of the other Transaction Documents to which it is a party constitutes the constitute legal, valid and binding obligation obligations of such Originator Originator, enforceable against such Originator in accordance with its their respective terms, except (i) as such enforceability may be limited by applicable bankruptcy, insolvency, reorganization reorganization, moratorium or other similar laws affecting the enforcement of creditors’ rights generally and (ii) as such enforceability may be limited by general principles of equity, regardless of whether such enforceability is considered in a proceeding in equity or at law.
