Common use of Binding Effect; Assignment Clause in Contracts

Binding Effect; Assignment. This Agreement shall be binding upon the parties hereto, their heirs, legal representatives, successors and assigns. This Agreement shall not be assignable by the Executive but shall be assignable by the Company in connection with the sale, transfer or other disposition of its business or to any of the Company's affiliates controlled by or under common control with the Company.

Binding Effect; Assignment. This Agreement shall be binding upon the parties hereto, their heirs, legal representatives, successors and assigns. This Agreement shall not be assignable by the Executive Employee but shall be assignable by the Company in connection with the sale, transfer or other disposition of its business or to any of the Company's affiliates controlled by or under common control with the Company.

This Agreement shall be binding upon and shall inure to the parties heretobenefit of the Company, its affiliates and their heirs, legal representatives, successors and assigns. This Agreement shall not be assignable by binding upon and shall inure to the Executive but benefit of the Executive. Neither this Agreement nor any right or interest hereunder shall be assignable or transferable by the Company in connection with the saleExecutive, transfer his beneficiaries or other disposition of its business or to any of the Company's affiliates controlled by or under common control with the Companylegal representatives.

This Agreement shall inure to the benefit of and be binding upon the parties hereto, hereto and their respective heirs, legal executors, representatives, estates, successors and assigns. This Agreement shall not be assignable by , including any successor or assign to all or substantially all of the Executive but shall be assignable by the Company in connection with the sale, transfer or other disposition of its business or to any and/or assets of the Company, whether direct or indirect, by purchase, merger, consolidation, acquisition of stock or otherwise and Employee shall not assign all or any portion of Employee's affiliates controlled by rights or obligations under common control with this Agreement without the prior written consent of the Company.

This Agreement shall not be assignable by the Executive but shall be assignable by the Company in connection with the sale, transfer including, without limitation, any person, partnership, company or other disposition of its business or to any corporation which may acquire substantially all of the Company's affiliates controlled by assets or business or with or into which the Company may be liquidated, consolidated, merged or otherwise combined, and shall inure to the benefit of and be binding upon the Consultant, his heirs, distributees and personal representatives. The Consultant may not assign this Agreement or any right or obligation under common control with the Companythis Agreement.
