Best Efforts to Effectuate This Settlement. The Parties agree to cooperate with one another to the extent reasonably necessary to effectuate and implement the terms and conditions of this Agreement and to exercise their reasonable best efforts to accomplish the terms and conditions of this Agreement.
Best Efforts to Effectuate This Settlement. 18. The Settling Parties and their counsel agree to recommend approval of this Settlement Agreement by the Court and to undertake their best efforts, including all steps and efforts contemplated by this Settlement Agreement and any other steps and efforts that may be necessary or appropriate, by order of the Court or otherwise, to secure Final Settlement Approval and otherwise carry out the terms of this Settlement Agreement.
Best Efforts to Effectuate This Settlement. The Settlement Class and the Settling Defendants shall use their best efforts to effectuate this Settlement Agreement and obtain a Court order that the Settling Defendants are excused from further proceedings in the Action, and shall cooperate in the Settlement Class’s efforts to promptly seek and obtain the Court’s preliminary and final approval of this Settlement Agreement and to secure the prompt, complete, and final dismissal with prejudice of the Action as to the Settling Defendants.
Best Efforts to Effectuate This Settlement. Counsel for the parties to this Settlement Agreement agree to recommend approval of this Settlement by the Court and to undertake their best efforts, including all steps and efforts contemplated by this Settlement Agreement and any other steps and efforts that may be necessary or appropriate, by order of the Court or otherwise, to secure approval and to carry out the terms of this Settlement.
Best Efforts to Effectuate This Settlement. Plaintiffs and Groupon shall use their best efforts to effectuate this Settlement Agreement and shall cooperate in Plaintiffs’ efforts to promptly seek and obtain the Court’s preliminary and final approval of this Settlement Agreement and to secure the prompt, complete, and final dismissal with prejudice of the Action as to Groupon.
Best Efforts to Effectuate This Settlement. Counsel for the undersigned agree to recommend approval of this Settlement Agreement to the Court and to undertake their best efforts, including undertaking all actions contemplated by and steps necessary to effectuate this Settlement Agreement, to carry out the terms of this Settlement Agreement and to secure the prompt, complete, and final dismissal with prejudice of all claims in the Direct Purchaser Class Action. This includes Defendants’ serving notice on those entities required to receive notice pursuant to 28 U.S.C. § 1715.
Best Efforts to Effectuate This Settlement. The Class and KEMET shall use their best efforts to effectuate this Settlement Agreement, and shall cooperate in the Class’s efforts to promptly seek and obtain the Court’s preliminary and final approval of this Settlement Agreement and to secure the prompt, complete, and final dismissal with prejudice of the Action as to KEMET.
Best Efforts to Effectuate This Settlement. The Parties agree to undertake their best efforts and mutually cooperate, including all steps and efforts contemplated by this Agreement and any other steps and efforts which may become necessary or appropriate, by the Court’s orders or otherwise, to effectuate this Settlement, including cooperating in seeking to secure the Court’s preliminary approval, and, subsequently, the complete and final dismissal with prejudice and on the merits of the Action as to Ford Canada. However, in no event shall Ford Canada have any responsibility or duty to identify or locate Class Members or otherwise assist in the notice of the Settlement to the Class or, in the event this Settlement becomes Final, distribution of the Settlement Fund to Class Members. As set forth in Paragraph 8, however, Xxxx Canada agrees that up to $5 million of the Settlement Fund may be used to pay for notice to the Class and claims administration.
Best Efforts to Effectuate This Settlement. Co-Lead Counsel and the Settling Defendants’ Counsel agree to cooperate fully with one another in seeking Court approval of the Preliminary Approval Order, the Stipulation and the Settlement, and to promptly agree upon and execute all such other documentation as reasonably may be required to obtain final approval by the Court of the Settlement.
Best Efforts to Effectuate This Settlement. The Class and Shinyei shall use their best efforts to effectuate this Settlement Agreement, obtain a Court order that Shinyei is excused from trial in this Action, currently set to begin on March 2, 2020, and shall cooperate in the Class’s efforts to promptly seek and obtain the Court’s preliminary and final approval of this Settlement Agreement and to secure the prompt, complete, and final dismissal with prejudice of the Action as to Shinyei.
