Common use of Authorization Documents Clause in Contracts

Authorization Documents. A certificate of the secretary of ----------------------- each Company attaching and certifying as to (i) the certificate or articles of incorporation and bylaws of such Company; (ii) resolutions or other evidence of authorization by the board of directors of such Company, authorizing its execution and full performance of Loan Documents and all other documents and actions required hereunder; and (iii) incumbency certificates setting forth the name, title and specimen signature of each officer of such Company who is authorized to execute the Loan Documents on behalf of such entity.

Authorization Documents. A certificate of the secretary of ----------------------- each Company Borrower, attaching and certifying as to (i) the certificate or articles of incorporation and bylaws of such Companyentity; (ii) resolutions or other evidence of authorization by the board of directors of such Companyentity, authorizing its execution and full performance of Loan Documents this Agreement, the Promissory Notes, and all other documents and actions required hereunder; and (iii) an incumbency certificates certificate setting forth the name, title titles and specimen signature of each officer of such Company entity who is authorized to execute the Loan Documents on behalf of such entity.

A certificate of the secretary (or secretary of ----------------------- the general partner, as applicable) of (i) the Company, (ii) each Company Subsidiary, and (iii) each Guarantor, attaching and certifying as to (i) the certificate or articles of incorporation and bylaws or partnership agreement, as applicable, of such Companyentity; (ii) resolutions or other evidence of authorization by the board of directors of such Companyentity, if applicable, authorizing its execution and full performance of Loan Documents this Agreement, the Promissory Notes, and all other documents and actions required hereunder; and (iii) incumbency certificates setting forth the name, title titles and specimen signature of each officer of such Company entity (or each officer of the general partner of such entity, as applicable) who is authorized to execute the Loan Documents on behalf of such entity.
