Common use of Authority and Authorization Clause in Contracts

Authority and Authorization. The Corporation has full corporate power and authority to enter into this Agreement and to do all acts and things and execute and deliver all documents as are required hereunder and thereunder to be done, observed, performed or executed and delivered by it in accordance with the terms hereof and the Corporation has taken all necessary corporate action to authorize the execution, delivery and performance of this Agreement and to observe and perform the provisions of this Agreement in accordance with the provisions hereof including, without limitation, the issue of the Common Shares to the Subscriber for the consideration and upon the terms and conditions set forth herein.

Authority and Authorization. The Corporation has full corporate power and authority to enter into this Subscription Agreement and to do all acts and things and execute and deliver all documents as are required hereunder and thereunder to be done, observed, performed or executed and delivered by it in accordance with the terms hereof and the Corporation has taken all necessary corporate action to authorize the creation, execution, delivery and performance of this Agreement Subscription Agreement, and to observe and perform the provisions of this Agreement Subscription Agreement, in accordance with the provisions hereof including, without limitation, the issue of the Common Shares to the Subscriber for the consideration and upon the terms and conditions set forth herein.hereof;
