Common use of Assignment of this Agreement Clause in Contracts

Assignment of this Agreement. Neither party may assign this Agreement by operation of law or otherwise without the express written consent of the other party; PROVIDED, HOWEVER, this Agreement may be assigned by operation of law or otherwise without the express written consent of the St. Xxxx and the Company to their respective Post-closing Subsidiaries so long as such assignment does not relieve the assigning party of liability hereunder.
