No waiver by any party of any provision of this Agreement or of any rights or obligations of any party under this Agreement the provisions hereof shall be effective unless set forth in writing and signed executed by the party so waiving. Any waiver or parties waiving compliancefailure to insist upon strict compliance with any obligation, and covenant, agreement, provision, term or condition shall be effective only in the specific instance and for the specific purpose stated in that writingnot operate as a waiver of, or estoppel with respect to, any subsequent or other failure to comply.
