Common use of Agent Counsel Legal Opinion Clause in Contracts

Agent Counsel Legal Opinion. Subject to Section 7(o) above, (i) on the date of this Agreement and (ii) within two (2) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit E (for which there is no waiver in effect), the Agents shall have received from Sidley Austin LLP, counsel for the Agents, such opinion or opinions, dated as of such date, as the Agents may reasonably require, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters. In rendering such opinion, Sidley Austin LLP may rely as to the organization and incorporation of the Company and other matters governed by Maryland law upon the opinion of Hxxxx Lovells US LLP referred to above.
