Common use of Agent Counsel Legal Opinion Clause in Contracts

Agent Counsel Legal Opinion. BRS shall have received from Xxxxx Xxxxxx LLP, counsel for BRS, such opinion or opinions, on or before the date on which the delivery of the Company Counsel legal opinion is required pursuant to Section 7(m), with respect to such matters as BRS may reasonably require, and the Company shall have furnished to such counsel such documents as the counsel for BRS may reasonably request for enabling them to pass upon such matters.

BRS BRFBR shall have received from Xxxxx Dxxxx Xxxxxx LLP, counsel for BRSBRFBR, such opinion or opinionsopinions and negative assurance letter, on or before the date on which the delivery of the Company Counsel legal opinion is required pursuant to Section 7(m7(n), with respect to such matters as BRS BRFBR may reasonably require, and the Company shall have furnished to such counsel such documents as the counsel for BRS may they reasonably request for enabling them to pass upon such matters.
