Common use of Administrative Agent and Affiliates Clause in Contracts

Administrative Agent and Affiliates. With respect to its Commitments, the Advances made by it and the Notes issued to it, the Lender acting as the Administrative Agent shall have the same rights and powers under the Loan Documents as any other Lender Party and may exercise the same as though it were not the Administrative Agent; and the term “Lender Party” or “Lender Parties” shall, unless otherwise expressly indicated, include such Lender acting as Administrative Agent in its individual capacity. The Lender acting as the Administrative Agent and its Affiliates may accept deposits from, lend money to, act as trustee under indentures of, accept investment banking engagements from and generally engage in any kind of business with, any Loan Party, any Subsidiary of any Loan Party and any Person that may do business with or own securities of any Loan Party or any such Subsidiary, all as if such Lender acting as Administrative Agent were not the Administrative Agent and without any duty to account therefor to the Lender Parties.

Administrative Agent and Affiliates. With respect to its CommitmentsCommitment, the Advances Loans made by it and the obligations of the Borrower owed to it under this Agreement and the Notes as a Bank and with respect to any Letter of Credit issued to or participated in by it, the Lender acting as the Administrative Agent shall have the same rights and powers under the Loan Documents this Agreement as any other Lender Party Bank and may exercise the same as though it were not the Administrative Agent; and the term “Lender Party” "Bank" or “Lender Parties” "Banks" shall, unless otherwise expressly indicated, include such Lender acting as the Administrative Agent in its individual capacity. The Lender acting as the Administrative Agent and its Affiliates may accept deposits from, lend money to, act as trustee under indentures of, accept investment banking engagements from and generally engage in any kind of business with, any Loan Partythe Borrower, any Subsidiary of any Loan Party its Subsidiaries and any Person that who may do business with or own securities of any Loan Party the Borrower or any such Subsidiary, all as if such Lender acting as the Administrative Agent were not the Administrative Agent and without any duty to account therefor to the Lender PartiesBanks.
