Common use of Additional Disclosures Clause in Contracts

Additional Disclosures. As of the date hereof the Collateral Agent is the holder of a $500,000 Secured Promissory Note issued by the Company pursuant to the terms of the Amended and Restated Securities Purchase Agreement dated as of August 26, 2014. In addition, the Collateral Agent also owns less than ten percent (10%) of the Company’s equity securities as of the date hereof. By executing this Agreement, each Purchaser acknowledges that it has read this Section 9.10 and that it has considered, with legal counsel, any potential conflicts of interest which may arise as a result of an investor serving as Collateral Agent prior to making the decision to invest in the Securities.
