Addition of New Members. Members acknowledge that additional Members may be added to the Network upon execution of this Multi-Purpose Agreement.
Addition of New Members. Subject to (a) the requisite approval of the Board in accordance with Section 4.1(b)(v) or Section 4.1(d)(iv) (as applicable), (b) the prior written approval of all of the Members in the case of an issuance of Units authorized by the Board pursuant to Section 4.1(b)(v) and (c) full compliance by the Company with Section 7.9 in the case of an issuance of Units authorized by the Board pursuant to Section 4.1(d)(iv), the Board may, from time to time in its discretion, authorize and cause the Company to issue and sell Units to any Person that is not a Member and admit any such Person as Member, subject to the compliance by such Person with the provisions of Section 14.5 hereof as if such Person was a Transferee of Units. Any Person that purchases Units from the Company pursuant to this Section 3.9 and is admitted by the Company as a Member shall be considered a Permitted Transferee for all purposes of this Agreement.
Addition of New Members. The Board may, by a vote of a majority of those voting thereon, increase the membership of NAIPTA to include additional municipalities located in counties that have a population of two hundred thousand (200,000) or less on the Effective Date (a "New Member'').The vote to add a New Member shall be taken upon written application of the proposed New Member. Addition of New Members a) Libraries: Any library within Okaloosa County may become a party to the Agreement and a member of the Okaloosa County Public Library Cooperative that meets the following minimum standards.
Addition of New Members. Upon the inclusion of New Members into the Work Group as provided in this Agreement, such New Members shall be assigned an allocation share consistent with the Interim Allocation and the Final Allocation as appropriate, based on the best information then in possession of the Work Group and the proportionate shares of the existing Members shall be equitably diluted. New Members shall be required to pay their proportionate share of the total amount of Shared Costs assessed as of the time the New Member joins the Work Group. In the event this occurs during the Interim Allocation period, the New Member’s payment shall be disbursed as reimbursement to the existing Members in equal shares. In the event this occurs after Final Allocation, the New Member’s payment shall be retained by the Steering Committee for use in the Work and credited proportionately to the accounts of the existing Members.
Addition of New Members. Any school district may elect to petition the participating school districts for membership. The addition of new members may occur by mutual agreement of all parties.

As the committee grows and progresses, additional stakeholders may be added, pending approval by the Committee at large; - An existing member must bring forward a motion for a new member. - The new member would be invited to present their rationale for membership status in writing including mutual benefits to be accrued. - Requests for membership will be determined by a vote of all Committee members. - A favourable vote will be determined by a majority vote of all Committee members. CHAIR/ CO-CHAIR The position of Chair and co-chair will be elected annually by majority vote. In the event that the Chair is not able to attend a meeting, the co-chair shall serve in the Chair's absence. The Chair will be a voting member. The responsibilities of the Chair include: - Facilitating the discussions of the Committee; - Approving and setting the agenda of Committee meetings; - Reviewing and approving the minutes of each Committee meeting; - Spokesperson for the Committee; - Oversight of the Secretariat; and, - Signing authority for correspondence and expenditures of the Committee.
Addition of New Members. Additional Members (in addition to the Initial Members) (each, a “New Member”) may be included into the Authority upon unanimous approval of the Board and upon the execution of a written amendment to this Agreement approved in writing by all the Members. The Board may establish criteria for the addition of a New Member, including fees for joining the Authority, voting privileges, and Board membership. Additional New Members may be allowed to appoint Directors to the Board as set forth in a written amendment to this Agreement.
Addition of New Members. New member communities may be added to the Partnership in accordance with the process listed below.
Addition of New Members. Any unit of government within Dakota County that has at least 10,000 residents and maintains a law enforcement agency is eligible for Membership in the Dakota 911. A new Member may be added to the Dakota 911 if first approved by the Board of Directors and if the existing Members and the unit of government seeking membership execute an amendment to this Agreement to add the new Member. The Executive Director will negotiate recommended financial terms for the new Member to join Dakota 911 as described below and will present the proposed terms to the Board of Directors. Any unit of government that becomes a Member of the Dakota 911 after the execution of this Agreement shall be subject to all existing debts and liabilities of the Dakota 911 on a proportionate basis to the same extent as all then existing Members. In addition, any new Member shall be solely liable for all costs of adding or modifying hardware, software or services necessary to effectively accommodate the operational needs of the new Member, and of insuring that there is no degradation of existing capability due to the new Member's needs, as determined by the Board of Directors. Each new Member shall pay a proportionate share of the normal, continuing operating expenses of the Dakota 911 as well as a proportionate share of any special assessment, as approved from time to time by the Members. An entity seeking to become a Member may be required to and shall pay one- time initiation, assessment or capital investment fees or establish an escrow account for such fees as determined by the Board of Directors.
