Actions by the Members; Meetings. The Members may vote, approve a matter or take any action by the vote of Members at a meeting, in person or by proxy, or without a meeting by the written consent of Members pursuant to subparagraph (d) below. Meetings of the Members shall be held upon at least five (5) days' prior written notice of the time and place of such meeting.
