Acquisition of Warrant for Personal Account. The Holder represents and warrants that it is acquiring the Warrant and Warrant Shares solely for its account for investment and not with a present view toward public sale or distribution of said Warrant or Warrant Shares or any part thereof and has no intention of selling or distributing said Warrant Shares or any arrangement or understanding with any other person or entity regarding the sale or distribution of said Warrant except as would not result in a violation of the 1933 Act.
