Common use of Acquisition of Warrant for Personal Account Clause in Contracts

Acquisition of Warrant for Personal Account. The Holder and its affiliates each represent and warrant that it is acquiring the Warrant and the Shares issuable upon exercise of the Warrant solely for its account for investment and not with a view to or for sale or distribution of said Warrant or Shares issuable upon exercise of the Warrant or any part thereof. The Holder and its affiliates also each represent that the entire legal and beneficial interests of the Warrant and Shares issuable upon exercise of the Warrant is being acquired for, and will be held for, its account only.

The Holder represents and its affiliates each represent and warrant warrants that it is acquiring the Warrant and the Shares issuable upon exercise of the Warrant solely for its account for investment and not with a view to or for sale or distribution of said Warrant or Shares issuable upon exercise of the Warrant or any part thereof. The Holder and its affiliates also each represent represents that the entire legal and beneficial interests of the Warrant and Warrant Shares issuable upon exercise of the Warrant Holder is acquiring is being acquired for, and will be held for, its account only.

The Holder and its affiliates also each represent represents that the entire legal and beneficial interests of the Warrant and Exercise Shares issuable upon exercise of the Warrant Holder is acquiring is being acquired for, and will be held for, his, her or its account only.

The Holder represents and its affiliates each represent and warrant warrants that it is acquiring this Warrant (and any Shares issued pursuant to the Warrant and the Shares issuable upon exercise of the Warrant this Warrant) solely for its and its Affiliates’ account for investment and not with a view to or for sale or distribution of said this Warrant (or Shares issuable upon exercise of the Warrant Shares) or any part thereof. The Holder and its affiliates also each represent represents that the entire legal and beneficial interests of this Warrant (and Shares) the Warrant and Shares issuable upon exercise of the Warrant Holder is acquiring is being acquired for, and will be held for, its and its Affiliates’ account only.
