Your Confidential Information definition

Your Confidential Information means the following information:
Your Confidential Information means the following information: Records of the Seasonal Workers employed by You; Records of Providers; and
Your Confidential Information means, except as provided below, all confidential patient data stored using the Program Property, Your confidential information concerning Your business strategies, and Your confidential financial information. "Your Confidential Information" shall exclude, without limitation, any information that: (a) is now or hereafter becomes publicly known through no act or failure on the part of Epic and without breach of this Agreement; (b) is known by Epic on a nonconfidential basis at the time of the receipt of such information; or (c) relates to the identity of Program Property modules that have been licensed by You, the types and configuration of hardware or operating systems on which the Program Property operates for You, or the identity of any software or hardware systems with which the Program Property interfaces for You.

More Definitions of Your Confidential Information

Your Confidential Information shall exclude, without limitation, any information that: (a) is now or hereafter becomes publicly known through no act or failure on the part of Epic and without breach of this Agreement; (b) is known by Epic on a nonconfidential basis at the time of the receipt of such information; or (c) relates to the identity of Program Property modules that have been licensed by You, the types and configuration of hardware or operating systems on which the Program Property operates for You, or the identity of any software or hardware systems with which the Program Property interfaces for You.
Your Confidential Information means Your information that: is described in item M of Schedule 1; or You identify, by notice in writing to Us after the Date of this Agreement as confidential information for the purposes of this agreement.
Your Confidential Information means any Information disclosed by you pursuant to the First Confidentiality Agreement and the Second Confidentiality Agreement and all Information relating directly or indirectly to the Proposed Transaction, including this agreement, the existence and content of the discussions and negotiations between you and us (or our respective Representatives) and all Information relating to any member of your Group, disclosed in any way (directly or indirectly and whether before, on or after the date of this agreement) by you, any member of your Group or any of your respective Representatives. Your Confidential Information includes all copies of any such Information and all Derivative Information. Your Confidential Information excludes:
Your Confidential Information has the meaning set out in clause 14.1
Your Confidential Information means information that is described in item CC of schedule 2.
Your Confidential Information means any information described in sub- Item K2 of the Schedule.
Your Confidential Information means all non-public confidential information pertaining to your business and Customer Data provided to Vendor in the course of receiving the Services. Vendor agrees to comply with this Section 3(B) when receiving Your Confidential Information under this Agreement. Your Confidential Information will be designated and/or marked as confidential when disclosed, provided that any such information Vendor receives and knows or reasonably should have known, under the circumstances, was considered confidential or proprietary by you, will be considered Your Confidential Information even if not designated or marked as such. Vendor agrees to preserve the confidentiality of Your Confidential Information and treat Your Confidential Information with at least the same degree of care that Vendor uses to protect Vendor’s own confidential information, but not less than a reasonable standard of care. Vendor agrees to use Your Confidential Information only to exercise rights and perform obligations under this Agreement. Vendor agrees to disclose Your Confidential Information only to Vendor employees and contractors with a need to know such information. Vendor will not be liable to you for the release of Your Confidential Information if such information: (a) was previously known to Vendor without restriction as to use or disclosure; (b) is released into the public domain through no fault of Vendor; (c) was independently developed solely by Vendor employees who have not had access to Your Confidential Information; or (d) is divulged pursuant to any legal proceeding or otherwise required by law, provided that, to the extent legally permissible, Vendor will notify you promptly of such required disclosure and reasonably assist you in efforts to limit such required disclosure.
