Xxxxxxxx Shareholders definition

Xxxxxxxx Shareholders means the registered or beneficial holders of the Xxxxxxxx Shares (including, for the avoidance of doubt, the Xxxxxxxx CDI Holders), as the context requires.

Xxxxxxxx Shareholders means Xxxxxxx Xxxxxxxx and his direct and indirect Permitted Transferees so long as any such Person shall beneficially own any Common Stock.

Xxxxxxxx Shareholders means the holders of Xxxxxxxx Common Stock of record as of the Record Date.

A “Breach” of a representation, warranty, covenant, obligation, or other provision of this Agreement will be deemed to have occurred if there is or has been (a) any inaccuracy in or breach of, or any failure to perform or comply with, such representation, warranty, covenant, obligation, or other provision, or (b) any claim or other occurrence or circumstance that is or was inconsistent with such representation, warranty, covenant, obligation, or other provision, and the term “Breach” means any such inaccuracy, breach, failure, claim, occurrence, or circumstance. “Break-Up Fee” has the meaning ascribed to it in Section 7.3.
