Xxxxxxx Patents definition

Xxxxxxx Patents means any Patents Controlled by Xxxxxxx or its Affiliates on the Effective Date claiming the composition, use, or manufacture of a Compound or Licensed Product, and any Patents which come under the Control of Xxxxxxx or any Affiliate thereof following the Effective Date claiming the composition, use, or manufacture of a Compound or Licensed Product. Xxxxxxx Patents include those listed on Schedule 1.41, attached hereto, and any Patents claiming priority thereto or claiming subject matter described in such Patents. Schedule 1.41 shall be updated by Xxxxxxx from time to time to reflect any new Patents to be included within the Xxxxxxx Patents.

Xxxxxxx Patents means the Patents on Annex V.

Xxxxxxx Patents means all foreign and domestic patents (including, without limitation, extensions, reissues, reexaminations, renewals and inventors certificates) issued as of, and patents issuing from patent applications (including substitutions, provisionals, divisionals, continuations and continuations-in-part) that are pending as of, the Effective Date which claim inventions or discoveries necessary and useful in the Field of Research and are owned or Controlled by Xxxxxxx. The RMC shall compile a list of Xxxxxxx Patents from time to time.

• If Xxxxxxx decides not to file, prosecute, or maintain any Xxxxxxx Patents, Xxxxxxx shall give PPD reasonable notice of same (such notice to be provided reasonably in advance of any statutory, response, maintenance fee, or similar deadlines) and after receipt of such notice, PPD may, upon written election to Xxxxxxx, file, prosecute, or maintain such Patents in its sole discretion at its own expense and shall be made the exclusive attorney of record for such Patents.

• Appropriately adjustment shall also be made to the number of shares to which a participant is entitled under the Plan.

• Xxxxxxx shall have the primary responsibility for, and shall use Diligent Efforts in, preparing, filing, prosecuting and maintaining Xxxxxxx Patents, including but not limited to those which are Royalty Patents.

• Xxxxxxx hereby grants to PPD a worldwide, exclusive license under Xxxxxxx Patents and Xxxxxxx Know-How to Develop the Licensed Product in the Field.

• Except as otherwise expressly provided herein, this Agreement does not grant PPD any license or other right under any Patents or Know-How of Xxxxxxx other than Xxxxxxx Patents and Xxxxxxx Know-How.

Xxxxxxx Patents means (a) all U.S. and foreign patents and patent applications owned by or licensed to Xxxxxxx Parent or its Subsidiaries relating to the Field of Use (whenever such patents or patent applications are filed or issued), or that may result from any of Xxxxxxx Intellectual Property, together with any patents that may issue based thereon; including but not limited to the patents and patent applications set forth on Exhibit A1 and Exhibit A2 of the CardioFocus License, (b) all foreign counterpart, continuation, divisional, continuation-in-part, re-issue and substitution applications that may be filed by or for the benefit of Xxxxxxx based on the foregoing, together with any patents that may issue based thereon.
