Xxxxxxx Parties definition

Xxxxxxx Parties shall have the meaning set forth in the preamble.

Xxxxxxx Parties means Xxxxxxx, the Xxxxxxx Entity and their Affiliates, in each case so long as any such Xxxxxxx Party (i) is managed, sponsored, controlled or advised by an investment fund affiliated with Xxxxxxx and (ii) owns Company Securities.

Xxxxxxx Parties means Xxxxxxx and its Permitted Transferees, including without limitation its members, Xxxx X. Xxxxxxx, Trustee of the Xxxx X. Xxxxxxx 1994 Trust and Xxxxx X. Xxxxxxx, Trustee of the Xxxxx X. Xxxxxxx 1994 Trust, in their capacities as trustees.

• This Agreement is solely for the benefit of the Company and the Xxxxxxx Parties and is not enforceable by any other persons.

• This Agreement may be amended only by an agreement in writing executed by the Company and the Xxxxxxx Parties.

Xxxxxxx Parties has the meaning ascribed to such term in the preamble hereto.

Xxxxxxx, Xx., or (b) any trust, the beneficiary, owner or Person beneficially holding an 80% or more controlling interest of which consists of Xxxxx X. Xxxxxxx, Xx. and/or such other Persons referred to in the immediately preceding clause (a).

Xxxxxxx Parties means, collectively, the Mortgage Borrowers, the Mezzanine Borrowers and the Operating Companies.

Xxxxxxx Parties means, collectively, Xxxxxx Xxxxx Company, a Missouri corporation, and Xxxxxx Xxxxxxx and Xxxxxxx Xxxx.
