Xxxxxxx Indemnitees definition

Xxxxxxx Indemnitees means each member of the Xxxxxxx Group and each of their respective Affiliates, and each of their respective directors, officers, employees and agents (in each case, in their respective capacities as such) and each of the heirs, executors, successors and assigns of any of the foregoing.

Xxxxxxx Indemnitees has the meaning set forth in Section 8.1.2.

Xxxxxxx Indemnitees means Xxxxxxx, each member of the Xxxxxxx Group, and all Persons who are or have been shareholders, directors, partners, managers, managing members, officers, agents or employees of any member of the Xxxxxxx Group (in each case, in their respective capacities as such) (excluding any shareholder of Xxxxxxx), together with their respective heirs, executors, administrators, successors and assigns.

• User releases, acquits and discharges the St. Xxxxxxx Indemnitees from or for any errors, negligence, obligations of third-party vendors retained by St. Xxxxxxx or any Hospital to install, maintain, select, secure or otherwise manage or operate the System, the EMR, or the information contained therein.

• Without limiting the foregoing, User specifically releases the St. Xxxxxxx Indemnitees from all liability relating to the accuracy, completeness, or timeliness of data available through the System, except for liability resulting from the actual negligence or willful malfeasance of St. Xxxxxxx with regard to the accuracy or completeness of data.

• The cumulative obligation of CEP to the Xxxxxxx Indemnitees with respect to all Xxxxxxx Indemnified Claims pursuant to Section 7.4(a)(i) will be limited to the Indemnity Cap; provided, however, that Claims for indemnification pursuant to (1) Section 7.4(a)(i) with respect to a breach by CEP of its representations and warranties in Section 3.2(a), Section 3.2(b), Section 3.2(d)(iv) and Section 3.2(m), (2) Section 7.4(a)(ii), and (3) Section 7.4(a)(iii) shall not be subject to the Indemnity Cap.

• CEP’s obligation to indemnify the Xxxxxxx Indemnitees pursuant to Section 7.4(a)(i) with respect to breaches of CEP’s representations and warranties shall survive for the survival period of the applicable representation and warranty set forth in this subsection (i).
