Xxxxxx Investment means (a) the exercise or consummation of the Xxxxxx Purchase and related transactions and/or (b) the exercise of the Xxxxxx Option and related transactions and/or (iii) any transaction or series of related transactions in which Xxxxxx Energy and/or the Xxxxxx Group makes an investment in, or purchases, Equity Interests of the MLP, the Borrower, Foresight Finance or any of their Subsidiaries or Indebtedness issued by the MLP, the Borrower, Foresight Finance or any of their Subsidiaries in connection with any exercise or consummation of the Xxxxxx Purchase or the Borrower’s or Foresight Finance’s redemption of the Exchangeable Notes.
