Xxxxxx Agreements definition

Xxxxxx Agreements has the meaning assigned to such term in Section 3.1.

Xxxxxx Agreements has the meaning set forth in Section 1.58 of the License Agreement.

Xxxxxx Agreements means the Stock Option Agreement dated June 16, 2004, between the Company and Xxxxxx Capital Corporation, the Consulting Agreement dated February 1, 2006, between the Company and Xxxxxx Capital Corporation, and the Letter of Agreement dated June 16, 2002.

More Definitions of Xxxxxx Agreements

Xxxxxx Agreements means (i) the letter agreement, dated as of the date hereof, by and between the Company and Xxxxxx X. Xxxxxx and (ii) the form of voting and support agreement signed as of the date hereof by and between Parent and each of (a) JMP Securities LLC, (b) Xxxxxx X. Xxxxxx, Xxxxxx X. Xxxxxx Trust DTD 6/4/91 and Xxxxxx Family Foundation.

Xxxxxx Agreements means each of (i) that certain Stock Redemption Agreement by and among Xxxxx Xxxxxx, the Company, and the then-existing stockholders of the Company and their respective spouses, dated as of January 29, 1997; (ii) that certain Promissory Note in the original principal amount of thirty nine million two hundred sixty thousand and six hundred thirty five dollars ($39,260,635.00), dated as of January 29, 1997, by the Company in favor of Xxxxx Xxxxxx; (iii) that certain Guaranty Agreement by the then-existing stockholders of the Company and their respective spouses, in favor of Xxxxx Xxxxxx, dated as of January 29, 1997; (iv) that certain Pledge Agreement by the Company and the then-existing stockholders of the Company and their respective spouses, in favor of Xxxxx Xxxxxx, dated as of January 29, 1997; (v) that certain Notice and Instructions to Pledgeholder, by and among the Company, the then-existing stockholders of the Company and their respective spouses, Xxxxx Xxxxxx, and Xxxxxx, Xxxxxxxx & Xxxxx, dated as of January 29, 1997; (vi) that certain Release and Indemnification Agreement by the Company, the then-existing stockholders of the Company and their respective Spouses, in favor of Xxxxx Xxxxxx, dated as of January 29, 1997; and (vii) the Shareholder Agreement.

Xxxxxx Agreements means those certain termination and Settlement ----------------- Agreements, dated as of December 18, 1996, among the Seller, Parent and Xxxxxx Xxxxxx and, dated as of December 19, 1996, among the Seller, Parent and Xxxx Xxxxxx.

Xxxxxx Agreements mean (i) those certain Agreements of Purchase and Sale of even date herewith, pursuant to which Denver South Summerfield Associates, L.P., Hanover Summerfield Suites Associates, L.P., Hanover South Summerfield Suites, L.P. and Waltham Summerfield Associates, L.P. are to sell and transfer to Buyer or to Buyer's assignee certain real property assets (the "Xxxxxx Partnership Hotel Sale Agreements"), and (ii) that certain letter agreement of even date herewith relating to the transactions pursuant to which the partnership interests in said limited partnership may be transferred to SFHC.

Xxxxxx Agreements means, collectively, this Agreement, the Xxxxxx Assumption Agreement, the Employment Agreement and the Note.

Xxxxxx Agreements means the Purchase Agreement and the Service Agreement and any similar purchase agreement (mutatis mutandi) and service agreement executed and delivered in connection with a substitution of a transponder aboard another satellite pursuant to Section 18(e) hereof.

Xxxxxx Agreements means the Xxxxxx Amendment, Xxxxxx Compound Supply Agreement, Xxxxxx License, Xxxxxx License and Supply Agreement, and the Xxxxxx Supply Agreement, as any of such agreements may be amended from time to time during the Agreement Term.
