The foregoing condition cannot be waived by the Offeror. Subject to the preceding paragraph and the provisions of the Agreement, notwithstanding any other provision of the Offer, the Offeror reserves the right to withdraw or terminate the Offer and not take up and pay for, or to extend the period of time during which the Offer is open and postpone taking up and paying for, any Caza Shares deposited under the Offer unless all of the following conditions are satisfied or waived by the Offeror:
