Xxxxx Trust definition

Xxxxx Trust means, collectively, (i) the Xxxxxxx X. Xxxxx Irrevocable Trust dated July 14, 1972, (ii) the Xxxxxxx X. Xxxxx Trust for Xxxxxxx X. Xxxxxxxx, dated February 24, 1964, and (iii) the Xxxxxxx X. Xxxxxxxx Revocable Trust B, dated October 9, 2001, in each case as the same have been or shall be amended from time to time.

Xxxxx Trust shall have the meaning specified in the preamble.

Examples of Xxxxx Trust in a sentence

• Effective as of the Closing Date, to the fullest extent permitted under applicable Law and under the Serviced Corporate Trust Contract related to each Serviced Appointment, (a) Xxxxx Bank hereby engages the Bank Assets Purchaser and (b) Xxxxx Trust Company hereby engages Delaware Trust Assets Purchaser (or the Bank Assets Purchaser, if required by Section 3.3), in each case, as Servicer to perform and discharge the Serviced Duties in respect of each Serviced Appointment as agent of such Seller.

• The Delaware Trust Assets Purchaser shall be the Servicer engaged to perform and discharge the Serviced Duties in respect of each Appointment of Xxxxx Trust Company that continues to be treated as a Restricted Appointment.

• To the extent permitted by applicable Laws and in accordance with the Serviced Corporate Trust Contracts for Serviced Appointments, Xxxxx Bank hereby appoints the Bank Assets Purchaser and Xxxxx Trust Company hereby appoints the Delaware Trust Assets Purchaser (or the Bank Assets Purchaser, if required by Section 3.3) as custodial agent to receive, hold, deposit, invest and transfer Trust Assets related to the Serviced Appointments of the Xxxxx Bank and Xxxxx Trust Company, respectively.

• With respect to each Serviced Appointment of Xxxxx Trust Company, the Delaware Trust Assets Purchaser (or the Bank Assets Purchaser, if required by Section 3.3) hereby accepts its engagement as Servicer and agrees to perform and discharge all Serviced Duties consistent with the terms hereof.

• This Annex A to the Second Amended and Restated Servicing Agreement, dated October 31, 2021 (the “Agreement”), among Xxxxx Bank and Xxxxx Trust Company, as Sellers, the Bank Assets Purchaser and, upon execution of the Joinder Agreement, the Delaware Trust Assets Purchaser, as Purchasers, and Guarantor (solely for purposes of Section 9.5 of the Agreement), is incorporated into and deemed part of the Agreement in all respects.

A Person shall be deemed to be “controlled by” any other Person if such Person possesses, directly or indirectly, power to vote ten percent (10%) or more of the securities (on a fully diluted basis) having ordinary voting power for the election of directors or managers or power to direct or cause the direction of the management and policies of such Person whether by contract or otherwise. Unless expressly stated otherwise herein, neither Agent, Issuing Bank nor any Lender shall be deemed an Affiliate of any Loan Party.

Xxxxx Trust means Xxxx X. Xxxxx, Xxxxx Manhattan Bank and Xxxxxx Xxxxxxxxx, trustees under a Trust Agreement, dated May 30, 1984 and as amended and restated, between Xxxx X. Xxxxx, as grantor, and Xxxx X. Xxxxx and Manufacturers Hanover Trust Company, as trustees, a grantor trust.

Xxxxx Trust has the meaning given in the Preamble hereof. “knowledge of Seller,” and “knowledge of the Seller Entities,” as such concepts are used in this Agreement (including the phrases “to the actual knowledge of Seller” and “to the actual knowledge of the Seller Entities” and similar phrases) mean the actual knowledge of any of Xxxxx, Williams, Smith, Green or Hekman (without a duty to investigate).
