Xxxxx Subsidiaries means Valley High Ventures Ltd., Administración de Proyectos Xxxxx en México, S.A. de C.V., Minera Titan, S.A. de C.V. and Minera El Camino, S.A. de C.V. Aphrodite Asset Holdings Ltd., Citrine Investments Limited and Xxxxxx Assets Limited.

Xxxxx Subsidiaries means Xxxxx Homes and its Subsidiaries.

Xxxxx Subsidiaries means 1017341 B.C. LTD., 1017343 B.C. LTD., 1017344 B.C. LTD., 1017345 B.C. LTD., and 1017346 B.C. LTD.;

• Other than the Xxxxx Subsidiaries, Xxxxx does not beneficially hold any securities or other interests, or securities convertible or exchangeable into securities or other interests, of any other person.

• The corporate records and minute books of Xxxxx and the Xxxxx Subsidiaries have been maintained in accordance with all applicable Laws, and the minute books of Xxxxx and the Xxxxx Subsidiaries as provided to Voleo are complete and accurate in all material respects.

• Xxxxx has obtained all Authorizations necessary for the ownership, operation, development, maintenance, or use of the material assets of Xxxxx and the Xxxxx Subsidiaries or otherwise in connection with the material business or operations of Xxxxx and such Authorizations are in full force and effect.

• Each of Xxxxx and the Xxxxx Subsidiaries is duly qualified to carry on business and is in good standing in each jurisdiction in which the character of its properties or the nature of its activities makes such qualification necessary.

• True and complete copies of the constating documents of Xxxxx and the Xxxxx Subsidiaries have been delivered or made available to Voleo, and Xxxxx has not taken any action to amend or supersede such documents.

Xxxxx Subsidiaries means 1020410 B.C. Ltd., 1020416 BC. Ltd., 1020673 B.C. Ltd. and 1020680 B.C. Ltd.;

Xxxxx Subsidiaries means the Subsidiaries of Xxxxx, which shall include the Xxxxx Subsidiaries described in Section 5.4 and any corporation, bank, savings association, or other organization acquired as a Subsidiary of Xxxxx in the future and held as a Subsidiary by Xxxxx at the Effective Time. "Certificate of Merger" shall mean the Certificate of Merger to be executed by Savannah and filed with the Secretary of State of the State of Georgia relating to the Merger as contemplated by Section 1.1. "Closing Date"shall mean the date on which the Closing occurs. "Confidentiality Agreement" shall mean that certain Confidentiality Agreement, dated January 30, 1998, between Xxxxx and Savannah. "Consent" shall mean any consent, approval, authorization, clearance, exemption, waiver, or similar affirmation by any Person pursuant to any Contract, Law, Order, or Permit. "Contract" shall mean any written or oral agreement, arrangement, authorization, commitment, contract, indenture, instrument, lease, obligation, plan, practice, restriction, understanding, or undertaking of any kind or character, or other document to which any Person is a party or that is binding on any Person or its capital stock, Assets or business. "Default" shall mean (i) any breach or violation of, default under, contravention of, or conflict with, any Contract, Law, Order, or Permit, (ii) any occurrence of any event that with the passage of time or the giving of notice or both would constitute a breach or violation of, default under, contravention of, or conflict with, any Contract, Law, Order, or Permit, or (iii) any occurrence of any event that with or without the passage of time or the giving of notice would give rise to a right of any Person to exercise any remedy or obtain any relief under, terminate or revoke, suspend, cancel, or modify or change the current terms of, or renegotiate, or to accelerate the maturity or performance of, or to increase or impose any Liability under, any Contract, Law, Order, or Permit. "Environmental Laws" shall mean all Laws relating to pollution or protection of human health or the environment (including ambient air, surface water, ground water, land surface, or subsurface strata) and which are administered, interpreted, or enforced by the United States Environmental Protection Agency and state and local agencies with jurisdiction over, and including common law in respect of, pollution or protection of the environment, including the Comprehensive Environmental Response Compensation...

Xxxxx Subsidiaries means each direct and indirect Subsidiary of Xxxxx and/or New Xxxxx other than a member of the Xxxxxxx-Xxxxxx Group.

Xxxxx Subsidiaries have the meaning as set forth in the Recitals.

Xxxxx Subsidiaries means the Subsidiaries of Xxxxx, which shall include any corporation, bank, savings association, limited liability company, limited partnership, limited liability partnership or other organization acquired as a Subsidiary of Xxxxx after the date hereof and held as a Subsidiary by Xxxxx at the Effective Time.
