Xxxxx Parties definition

Xxxxx Parties has the meaning set forth in the definition of “Sponsor”.

Xxxxx Parties means (i) Xxxxxxx X. Xxxxx, (ii) any individual related by blood, marriage or adoption to Xxxxxxx X. Xxxxx and (iii) the Xxxxx Voting Trust and any other trust that holds shares for the primary benefit of one or more of the individuals described in the foregoing clauses (i) and (ii).

Xxxxx Parties means (a) (i) Xxxx Xxxxxx, Xxxxxxx Xxxxx, Xxxxxx Xxxxx and Xxxxxx X. Xxxxx, Xx., (ii) any of their immediate family members consisting of spouses and lineal descendants (whether natural or adopted) and (iii) any trusts established for the benefit of any of the foregoing and (b) The Regency Group, Inc., The Regency Group II, Ltd. and Regency Square II but only so long as the foregoing individuals or such trusts own, directly or indirectly, all of the capital stock of any such entity.

Examples of Xxxxx Parties in a sentence

• Promptly after the occurrence thereof, notice of any material adverse change in the business, operations, property or financial condition of (x) the Xxxxx Parties, taken as a whole or (y) any Borrower.

• Each Borrower will strictly observe limited liability company formalities in its dealings any other Xxxxx Party or any Affiliates thereof, and funds or other assets of the Borrowers will not be commingled with those of the other Xxxxx Parties or any Affiliates thereof except as permitted by this Agreement in connection with servicing the Pool Receivables.

• This Agreement shall inure solely to the benefit of, and shall be binding upon, the Agent, the Xxxxx Parties and their respective successors and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provision herein contained.

• The Xxxxx Parties shall be entitled to act and rely on any request, notice, consent, waiver or agreement purportedly given on behalf of the Agent when the same shall have been given by the undersigned.

• Each Borrower’s books and records will be maintained separately from those of the other Xxxxx Parties and any of their Affiliates and in a manner such that it will not be difficult or costly to segregate, ascertain or otherwise identify the assets and liabilities of such Borrower.

Xxxxx Parties means Xxxxx Xxxxx, Xxxxx Xxxxx, Xxx Xxxxx, Xxxxx Xxxxx and KSD Newco Corporation (each, including their respective successors and permitted assigns).

Xxxxx Parties means, collectively, Xxxxx Oil Co. (formerly Pel-Tex Oil Company, Inc.), Xxxxxxx Oil Company, Inc., Xxxxx and Pel-Tex Oil Company, Inc., doing business as Burmont Company, Xxxx X. Xxxxx, Xx. and Xxx Xxxxxxx Xxxxx, as assignors of the Pel-Tex Agreements to the Pel-Tex Lenders.

Xxxxx Parties means Xxxxx Enterprises, LLC, an Illinois limited liability company, and Thorndike, LLC, an Illinois limited liability company.

Xxxxx Parties have the meaning set forth in this Section 1.

Xxxxx Parties means (i) the Voting Trustee and (ii) any Permitted Transferee that is Transferred Common Stock in compliance with the terms of this Agreement.
