Xxxx Xxxxxxx Business means (a) the business and operations of the business entities of BMS currently known as Xxxx Xxxxxxx Nutritionals, as described in the IPO Registration Statement and as such business and operations will continue following the Separation Date, and any related infrastructure organizations, and (b) except as otherwise expressly provided in the Separation Agreement, any terminated, divested, or discontinued businesses or operations that at the time of termination, divestiture or discontinuation primarily related to the Xxxx Xxxxxxx Business as then conducted.
