Xxxx Control Persons definition

Xxxx Control Persons means, collectively: (i) Xxxx X. Xxxx, (ii) any Affiliate of Xxxx X. Xxxx, (iii) any entity, directly or indirectly, owned or controlled by Xxxx X. Xxxx and (iv) upon Xxxx X. Xxxx’x death or disability, the executors, attorneys in fact, administrators of Xxxx X. Xxxx or his estate, or any trustee (whether or not as a testamentary trustee or as a successor trustee under a non-testamentary trust), if any, with respect to Xxxx X. Xxxx.

  • This Article II shall terminate on the first to occur of the following: (i) the first day on which no Xxxx Control Person nor any combination of Xxxx Control Persons controls the Partnership, (ii) the death of Xxxxxx Xxxx and (iii) the fifth anniversary of the date of this Agreement.

  • Company Control Person means each director, executive officer, promoter, and such other Persons as may be deemed in control of the Company pursuant to Rule 405 under the 1933 Act or Section 20 of the 1934 Act (as defined below).

  • Professional Persons means all Persons retained by order of the Bankruptcy Court in connection with the Reorganization Cases, pursuant to sections 327, 328, 330 or 1103 of the Bankruptcy Code, excluding any ordinary course professionals retained pursuant to order of the Bankruptcy Court.

  • Medical personnel means those persons assigned, by a Party to the conflict, exclusively to the medical purposes enumerated under subparagraph (e) or to the administration of medical units or to the operation or administration of medical transports. Such assignments may be either permanent or temporary. The term includes:

  • Senior Management Team means (a) each Authorized Officer, the chief executive officer, secretary and (b) any chief executive officer, president, vice president, chief financial officer, treasurer or secretary of any Subsidiary Guarantor.

  • Participating Country’ means any country that the Association determines meets the requirements set forth in Section 10 of Resolution No. 183 of the Board of Governors of the Association, adopted on June 26, 1996; and ‘Participating Countries’ means, collectively, all such countries.”
