WORKS AND/OR EQUIPMENT definition

WORKS AND/OR EQUIPMENT means the industrial equipment and related spare parts to be delivered by the CONTRACTOR to the BUYER under any CONTRACT. The WORKS AND/OR EQUIPMENT expressly include:

Examples of WORKS AND/OR EQUIPMENT in a sentence

  • The CONTRACTOR shall communicate to the BUYER the method and know-how related to the use of the STANDARD SOFTWARE with its best performance for the best practice by the BUYER of the WORKS AND/OR EQUIPMENT.

  • The CONTRACTOR also warrants that it has freely carried out any and all adaptations, modifications and uses as may be necessary with respect to the WORKS AND/OR EQUIPMENT without committing any offence, contravening any prohibitions nor being liable to any sanctions.

  • The CONTRACTOR further warrants that it is properly entitled to the rights of use, diffusion, commercialisation, operation and modification of the WORKS AND/OR EQUIPMENT that it does not own and of which it may use for the purpose of the concerned CONTRACT.

  • Except otherwise expressly stipulated in a CONTRACT, the price of the WORKS AND/OR EQUIPMENT is fixed and is not subject to any revision.

  • Moreover, the CONTRACTOR shall provide the BUYER on a regular basis with a progress report on the studies, procurement, manufacture and/or performance of the WORKS AND/OR EQUIPMENT as well as a statement of all faced problems and corresponding corrective actions and measures carried out or proposed in relation thereto.

  • All TESTS in relation to the WORKS AND/OR EQUIPMENT (whether load/hot TESTS or no-load/cold TESTS) shall be performed by the CONTRACTOR.

  • The CONTRACTOR shall transport at its own expenses and risks all goods related to the WORKS AND/OR EQUIPMENT to be delivered to the BUYER under the concerned CONTRACT.

  • This detailed time schedule shall fully comply with the CONTRACTUAL TIME SCHEDULE itself and include all steps and stages required for the due, proper and timely delivery of the WORKS AND/OR EQUIPMENT.

  • Moreover, any payment made by the BUYER shall not imply that the BUYER waives any of its rights nor that the BUYER accepted the WORKS AND/OR EQUIPMENT or any part thereof.

  • If these reservations interfere substantially with the operation of the WORKS AND/OR EQUIPMENT, acceptance shall be refused by the BUYER.

Related to WORKS AND/OR EQUIPMENT

  • Major Equipment means the items of Equipment listed as such in Attachment G.

  • Supplier Equipment means the Supplier's hardware, computer and telecoms devices, equipment, plant, materials and such other items supplied and used by the Supplier (but not hired, leased or loaned from the Customer) in the performance of its obligations under this Call Off Contract;

  • Customer Equipment means hardware, software, systems, cabling and facilities provided by you and used in conjunction with the Equipment that we supply to you in order to receive the Services;

  • Computer Equipment means Covered Property that is electronic computer or other data processing equipment, including peripherals used in conjunction with such equipment, and electronic media and records.

  • Contractor Equipment means all appliances and things of whatsoever nature (other than temporary works) required for execution and completion of works and remedying of any defects, therein. But does not include plant, materials or other things intended to form or forming part of the permanent works.

  • Your Equipment means all equipment located after (downstream of) the point that electricity leaves the Meter at the premises which is used to take supply of or consume electricity except any Electricity Supply Equipment.

  • Standard equipment means the basic configuration of a vehicle which is equipped with all the features that are required under the regulatory acts of the Contracting Party including all features that are fitted without giving rise to any further specifications on configuration or equipment level.

  • Fixtures and Equipment means, with respect to any Person, all of the furniture, fixtures, furnishings, machinery and equipment owned or leased by such Person and located in, at or upon the Assets of such Person.

  • Equipments and ‘Plants’ shall mean and include all sorts of machineries and accessories, apparatus, instruments, components manufactured articles and parts etc. to be supplied or provided by the contractor under the terms of the contract , unless otherwise specified

  • Other Equipment is leasehold improvements, intangible property such as computer software and software licenses, equipment specifically designed or manufactured for Borrower, other intangible property, limited use property and other similar property and soft costs approved by Bank, including taxes, shipping, warranty charges, freight discounts and installation expenses.

  • Inventory is all “inventory” as defined in the Code in effect on the date hereof with such additions to such term as may hereafter be made, and includes without limitation all merchandise, raw materials, parts, supplies, packing and shipping materials, work in process and finished products, including without limitation such inventory as is temporarily out of Borrower’s custody or possession or in transit and including any returned goods and any documents of title representing any of the above.

  • Fixed Equipment means any property affixed in any way to the Licensed Premises existing at the time Notice to Proceed is given, whose removal would damage the Licensed Premises.

  • Farm equipment means equipment used directly for farming

  • Production equipment (1 7 9) means tooling, templates, jigs, mandrels, moulds, dies, fixtures, alignment mechanisms, test equipment, other machinery and components therefor, limited to those specially designed or modified for "development" or for one or more phases of "production".

  • Equipment is all “equipment” as defined in the Code with such additions to such term as may hereafter be made, and includes without limitation all machinery, fixtures, goods, vehicles (including motor vehicles and trailers), and any interest in any of the foregoing.

  • Designated Equipment means either: (i) a server identified by serial number, or host I.D. on which the Licensed Materials are stored; or (ii) a computer or workstation, as identified by its serial number, host I.D. number or Ethernet address; to which the Licensed Materials are downloaded and Used only upon the issuance of a License Key. The Designated Equipment shall be of a manufacture, make and model, and have the configuration, capacity (i.e., memory/disk), operating software version level, and pre- requisite and co-requisite applications, prescribed in the Documentation as necessary or desirable for the operation of the Software.

  • Associated equipment means equipment that is used in conjunction with a radiographic exposure device to make radiographic exposures that drives, guides, or comes in contact with the source, e.g., guide tube, control tube, control (drive) cable, removable source stop, “J” tube and collimator when it is used as an exposure head.

  • Inventories means “Inventories” as defined in the Uniform System of Accounts, such as provisions in storerooms, refrigerators, pantries and kitchens, beverages in wine cellars and bars, other merchandise intended for sale, fuel, mechanical supplies, stationery, and other supplies and similar items.

  • Plant and Equipment means permanent plant, equipment, machinery, apparatus, articles and things of all kinds to be provided and incorporated in the Facilities by the Contractor under the Contract (including the spare parts to be supplied by the Contractor under GCC Sub-Clause 3.3 hereof), but does not include Contractor’s Equipment.

  • Third Party Equipment has the meaning given such term in Section 4.8 of this Agreement.

  • Machinery and equipment shall have the meaning specified in Section 1.1(c).

  • Excluded Equipment means, at any date, any equipment or other assets of the Borrower or any Guarantor which is subject to, or secured by, a Capitalized Lease Obligation or a purchase money obligation if and to the extent that (i) a restriction in favor of a Person who is not Holdings or any Restricted Subsidiary of Holdings contained in the agreements or documents granting or governing such Capitalized Lease Obligation or purchase money obligation prohibits, or requires any consent or establishes any other conditions for or would result in the termination of such agreement or document because of an assignment thereof, or a grant of a security interest therein, by the Borrower or any Guarantor and (ii) such restriction relates only to the asset or assets acquired by the Borrower or any Guarantor with the proceeds of such Capitalized Lease Obligation or purchase money obligation and attachments thereto, improvements thereof or substitutions therefor; provided that all proceeds paid or payable to any of the Borrower or any Guarantor from any sale, transfer or assignment or other voluntary or involuntary disposition of such assets and all rights to receive such proceeds shall be included in the Collateral to the extent not otherwise required to be paid to the holder of any Capitalized Lease Obligations or purchase money obligations secured by such assets.

  • Analytical x-ray equipment means equipment used for x-ray diffraction or fluorescence analysis.

  • Installed means attached or connected such that an item requires tools for removal.

  • New equipment means equipment for which, by the cut-off date, neither of the following events has occurred:

  • Embedded means the placement of transmission or distribution lines, pipes or cables into the bottom of surface waters by minimal displacement of bottom material and without the creation of a trench, or trough, through the use of techniques such as plowing-in, weighing-in, or non-trenching jets.
