Working Capital Target definition

Working Capital Target has the meaning set forth in Section 1.3(b).

Examples of Working Capital Target in a sentence

  • If the Estimated Net Working Capital Amount is less than the Net Working Capital Target, then the Purchase Price paid pursuant to Section 2.04(e) shall be decreased by an amount equal to the amount by which the Net Working Capital Target exceeds the Estimated Net Working Capital Amount.

  • If the Estimated Net Working Capital Amount is equal to the Net Working Capital Target, then the Purchase Price paid pursuant to Section 2.04(e) shall not be adjusted pursuant to this Section 2.06(a).

  • If the Estimated Net Working Capital Amount is greater than the Net Working Capital Target, then the Purchase Price paid pursuant to Section 2.04(e) shall be increased by an amount equal to the amount by which the Estimated Net Working Capital Amount exceeds the Net Working Capital Target.

  • If the Closing Net Working Capital exceeds the sum of (i) the Net Working Capital Target plus (ii) $250,000, then Purchaser will promptly (but in no event more than five Business Days) pay to the Company (by wire transfer of immediately available funds) an amount equal to such excess (but only, for the avoidance of doubt, if a positive number) (the “Excess Net Working Capital Payment”).
