If the Estimated Net Working Capital Amount is less than the Net Working Capital Target, then the Purchase Price paid pursuant to Section 2.04(e) shall be decreased by an amount equal to the amount by which the Net Working Capital Target exceeds the Estimated Net Working Capital Amount.
If the Estimated Net Working Capital Amount is equal to the Net Working Capital Target, then the Purchase Price paid pursuant to Section 2.04(e) shall not be adjusted pursuant to this Section 2.06(a).
