Work Costs definition

Work Costs means, subject to §5.3 and the exclusion of the License Fees, all expenditures and costs incurred by the Optionee relating directly or indirectly to the Property including all expenditures and costs incurred: (a) in doing geophysical, geochemical, land, airborne, environmental and geological examinations, assessments, assays, audits and surveys; (b) in linecutting, mapping, trenching and staking; (c) in searching for, digging, trucking, sampling, working, developing, mining and extracting ores, minerals and metals; (d) in conducting diamond and other drilling; (e) in obtaining, providing, installing and erecting mining, milling and other treatment plant, ancillary facilities, buildings, machinery, tools, appliances and equipment; (f) in constructing access roads and other facilities on or for the benefit of the Property or any part thereof (g) in transporting personnel, supplies, mining, milling and other treatment plant, ancillary facilities, buildings, machinery, tools, appliances and equipment in, to or from the Property or any part thereof (h) in paying reasonable wages and salaries (including “fringe benefits”, but excluding home office costs) of personnel directly engaged in performing work on or with respect to the Property; (i) in paying assessments and contributions under applicable employment legislation relating to workers’ compensation and unemployment insurance and other applicable legislation relating to such personnel; (j) in supplying food, lodging and other reasonable needs for such personnel; (k) in obtaining and maintaining any insurance; (1) in obtaining legal, accounting, consulting and other contract and professional services or facilities relating to work performed or to be performed hereunder, all at fair market value competitive rates; (m) in paying any taxes, fees, charges, payments and rentals (including payments made in lieu of assessment work) or otherwise incurred to transfer the Property or. any part thereof or interest therein pursuant to this Agreement and to keep the Property or any part thereof in good standing; (n) in paying any non-refundable harmonized sales tax and social services tax and all other taxes charged on expenditures made or incurred by the Optionee relating directly or indirectly to the Property; (o) in acquiring access and surface rights to the Property; (p) in carrying out any negotiations and preparing, settling and executing any Agreements and other documents relating to environmental or indigenous peo...
Work Costs means all costs incurred and paid by Settling Work
Work Costs means all costs including all reasonable payments, expenses, obligations and liabilities of whatsoever kind or nature made or incurred, directly or indirectly, by Optionee which relate directly to the exploration, evaluation, development and operation of the Claims or any portion thereof including, without limiting the generality of the foregoing, monies expended:

Examples of Work Costs in a sentence

  • Costs for General Conditions Work shall mean those sums paid on a cost reimbursable maximum not-to-exceed price basis as described in Article 8.8 and as identified in Exhibit C, Direct Costs/General Conditions Work Costs Matrix.

  • Any Extra Work Costs incurred more than twenty (20) Days prior to submission by Contractor of its Change Order Request pursuant to Paragraph 7.2.1.

  • Deferral of Compensation means the election of IFA to pay Extra Work Costs or Delay Costs through any one of the following or a combination thereof: (a) Extension of the Term; (b) Adjustment of the Availability Payment; or (c) Periodic payments over the Term.

  • If a minimum equipment rental amount is required by the local equipment rental agency, Extra Work Costs shall be determined at the actual amount charged.

  • Such expense items exclude cost of funds (whether debt or equity), and Lender charges, damages and penalties, which are not allowable as Extra Work Costs.


More Definitions of Work Costs

Work Costs means all expenses, obligations and liabilities of whatever kind or nature spent or incurred directly or indirectly with respect to the exploration and/or development of the Property, including without limitation, moneys expended in maintaining the Property in good standing, including without limitation, to the extent applicable, mining licences and taxes, expenditures incurred in connection with the preparation of National Instrument 43-101 compliant technical reports as well as all other studies with respect to the Property, expenses paid for or incurred in connection with any program of surface or underground prospecting, exploring, geological, geophysical and geochemical surveying, diamond drilling and drifting, raising and other underground work, assaying and metallurgical testing, environmental studies, submissions to government agencies with respect to production permits, moneys expended in acquiring or constructing facilities and in developing the Property, and all salaries and benefits paid to, and field costs incurred by, employees and consultants with respect to the Property. SCHEDULE “C” REPRESENTATIONS AND WARRANTIES
Work Costs means: (a) the reasonable cost of space planning, architectural and engineering (including "value engineering") services, including, but not limited to reimbursable costs; (b) costs of permits, fees and taxes (exclusive of real property taxes); (c) testing and inspecting costs; (d) the actual costs and charges for material and labor, including, without limitation, reasonable overtime; (e) Lessee's Contractor's fee for profit, overhead and general conditions (including elevators, parking, utilities, insurance, construction supervision, trash removal and clean-up) which shall in no event exceed ten percent (10%) of the hard costs of construction and (f) the cost of Lessee's signs on the Building and monument signs on the Premises, in the event Lessee elects to erect such signs.
Work Costs with respect to Tenant’s Work, means the sum of all hard and soft costs and charges incurred by Landlord or Tenant, as may be the case, for labor and materials in having the Tenant’s Work performed by the contractor and subcontractors. If any performance or payment bonds are required by Landlord, the cost of such bonds shall be at Landlord’s sole cost and expense and not included in the Work Costs. Any Building stocked materials used by Tenant that are required out of Landlord’s warehouse shall be charged against the Tenant’s Work Allowance at the lesser of (i) the cost paid out of pocket by Landlord to the supplier including, if applicable, all stocking costs, taxes, insurance and other soft costs associated with Landlord’s cost to stock the materials, and (ii) the market cost of such materials. Tenant shall not be required to purchase Building stocked materials; however, if Landlord has previously purchased materials for the Base Building and Tenant desires to use other materials, Tenant shall not be provided a credit for the Base Building materials. Notwithstanding the foregoing, the Work Costs include, without limitation all architectural and engineering fees and expenses directly related to Tenant’s Work, all contractor and construction manager costs and fees, all permits and taxes, and a coordination and administration fee payable to Landlord equal to 2% of the hard costs (the “Construction Supervision Fee”) for Landlord’s overhead if a third party is retained to serve as construction manager instead of Landlord; but shall exclude the costs of any personal property items of Tenant such as decorator items or services, artwork, plants, furniture, equipment or other fixtures not permanently affixed to the Premises. If Landlord provides construction management services for Tenant, Landlord will be paid a fee of not less than 5% of the hard costs included in the total Work Costs, which cost shall be in lieu of the Construction Supervision Fee. If Tenant uses less than the entire Work Allowance for the hard costs and soft costs relating to construction of the Tenant Improvements, Tenant shall be permitted to utilize no more than $4.00 per Rentable Square Foot for furniture, fixtures, equipment, cabling and other costs and expenses relating to the Premises. Work Costs mean (i) all fees and expenses incurred by Tenant in connection with the design and construction of the Tenant Improvements; (ii) the actual contractor costs and charges for material and labor, contractor's profit, overhead and general conditions incurred by Tenant in having the Tenant Improvements constructed in accordance with the Final Plans; (iii) governmental agency plan check, permit and other fees and sales and use taxes; (iv) testing and inspection costs; and (v) any paint touch-up or repair work necessary due to Tenant's move into the Premises. Tenant hereby agrees to pay a fee to be paid to Landlord equal to two percent (2%) of all Tenant Work Costs for administration by Landlord of construction of the Tenant Improvements.
