Withholding Form definition

Withholding Form is defined in Section 10.13.4.
Withholding Form means US Internal Revenue Service Form X-0XXX, X-0XXX or W-9 (or, in each case, any successor form and, in each case, attached to an IRS Form W-8IMY if required) or any other US Internal Revenue Service form by which a person may claim a complete exemption from withholding of US federal income tax on interest payments to that person and, in the case of a person claiming an exemption under the “portfolio interest exemption”, a statement certifying that such person is not (A) a “bank” within the meaning of Section 881(c)(3)(A) of the Code, (B) a “10 per cent. shareholder” of the Borrower within the meaning of Section 881(c)(3)(B) of the Code, or (C) a “controlled foreign corporation” that is related to the Borrower within the meaning of Section 881(c)(3)(C) of the Code.
Withholding Form means IRS Form X-0XXX, X-0XXX or W-9 (or, in each case, any successor form and, in each case, attached to an IRS Form W-8IMY if required) or any other IRS form by which a person may claim an exemption from withholding of US federal income tax on interest payments to that person and, in the case of a person claiming an exemption under the "portfolio interest exemption," a statement certifying that such person is not (A) a "bank" within the meaning of Section 881(c)(3)(A) of the Internal Revenue Code, (B) a "10 percent shareholder" of the Borrower within the meaning of Section 881(c)(3)(B) of the Internal Revenue Code, or (C) a "controlled foreign corporation" that is related to the Borrower within the meaning of Section 881(c)(3)(C) of the Internal Revenue Code.

  • If the tendering holder of Original Notes is a nonresident alien or foreign entity not subject to the backup withholding, such holder must give the Company a complete Form W-8BEN Certificate of Foreign Status of Beneficial Owner for United States Tax Withholding, Form W-8BEN-E Certificate of Entities Status of Beneficial Owner for United States Tax Withholding, or other appropriate Form W-8.

Withholding Form means whichever of the following is applicable (including in each case any successor form):

Withholding Form has the meaning specified in Section 2.10.
Withholding Form shall have the meaning given to such term in Section 3.03(c).
Withholding Form shall have the meaning assigned thereto in Section 16.24(a).
