Wind Down Costs definition

Wind Down Costs means the Service Provider’s reasonable costs to wind down the funded program, as determined by the City.
Wind Down Costs means the Recipient’s reasonable costs to wind down the Project.
Wind Down Costs means the Service Manager’s reasonable costs to wind down any of the CHPI Service Categories.

More Definitions of Wind Down Costs

Wind Down Costs means the costs owed to a Person or otherwise borne by Parent in connection with the Wind-Down Process, as reflected in the Company Net Working Capital, including any costs associated with Clinical Compliance Protocol or the CMC Activities, and any liabilities arising from third-party claims brought or threatened in connection with such clinical trials (or wind-down thereof).
Wind Down Costs means all reasonable out-of-pocket costs incurred by either Party in terminating or transferring to the other Party (or its nominee) Research, Development or Commercialisation activities (including the termination or assignment of relevant related contracts and Materials) as set forth in Article 14.9, following the service of a notice of termination of this Agreement to the extent such activities, contracts and Materials have been approved by the Collaboration Committee and are not accounted for in Commercialisation Expense or Research or Development Cost. Wind Down Costs means (a) amounts required to be paid in severance to employees that will be terminated as a result of the termination of the O&M Agreement or AMA, as applicable; provided, that the amount of such severance shall be included only if the operator or manager under the O&M Agreement or AMA, as applicable, is unable to redeploy such terminated employees despite using commercially reasonable efforts to do so; (b) outsourcing contract early termination fees (but only if the termination of such outsourcing contract is directly attributable to the termination of the O&M Agreement or AMA, as applicable); (c) moving costs for any equipment or infrastructure that will be redeployed elsewhere (to the extent such equipment or infrastructure, prior to such redeployment, was used in connection with the provision of services under the O&M Agreement or AMA, as applicable) and (d) any other costs actually incurred by the Class B Member or its Affiliates that are required or reasonably necessary in connection with the termination of the O&M Agreement or AMA, as applicable.
