Whenever a Member definition

Whenever a Member s interest in the Company changes, such Member's distributive share of income, gain, loss, deduction or credit of the Company shall be determined in accordance with Section 706(d) of the Code and allocated on a daily basis. The Members may revise, alter, or otherwise modify the method of allocation as they determine necessary to comply with Section 706(d) of the Code and regulations or rulings promulgated thereunder.
Whenever a Member. (“Requesting Member”) requests that the other Member (the “Requested Member”) consent to any action required of the Requested Member under the provisions of this Agreement, notice shall be delivered by the Requesting Member to the Requested Member pursuant to the provisions of Section 11.2 hereof, which notice shall be in writing and shall include (a) a summary of the terms and conditions of the actions requested to be taken by the Requesting Member, (b) a copy of any proposed documentation, including any document to be executed by the Company or the Requested Member in connection therewith, and (c) a notice that conspicuously states that “THIS NOTICE IS BEING PROVIDED TO YOU IN ACCORDANCE WITH THE TERMS OF THE LIMITED LIABILITY COMPANY AGREEMENT OF INLAND DIVERSIFIED DAYVILLE KILLINGLY MEMBER, L.L.C.” Notwithstanding the inference from the foregoing provisions to the contrary, the foregoing provisions of this Section 6.1.G shall not be deemed to reduce any specific time periods for notice otherwise expressly set forth in this Agreement.
Whenever a Member has reason to believe that a prohibited subsidy is being granted or maintained by another Member, such Member may request consultations with such other Member.
