WellPoint Common Stock definition

WellPoint Common Stock means the common stock of the Company.
WellPoint Common Stock means the common stock of WellPoint Health Networks Inc. Notwithstanding the foregoing, effective as of the closing of the Merger, “WellPoint Common Stock” means the common stock of WellPoint, Inc. (formerly named Anthem, Inc.).
WellPoint Common Stock has the meaning set forth in Recital C hereof.

  • Cash dividends on WellPoint Common Stock will not be subject to the liquidation restrictions outlined in this subsection (a).

  • Participants may elect to invest amounts held in their Account in units of a WellPoint Common Stock Fund established by the Trustee pursuant to Section 6.01 of the Plan subject to such restrictions and administrative procedures as are imposed by the Committee, pursuant to its discretionary authority to administer and interpret the Plan.

  • At the discretion of the Committee, the Plan may acquire and hold WellPoint Common Stock.

  • When requesting a distribution under this Article, a Participant (or Beneficiary) may elect to receive the portion of his or her Account that is invested in a WellPoint Common Stock Fund in whole shares of WellPoint Common Stock.

  • A Participant whose Account is invested in a WellPoint Common Stock Fund will be notified by the Trustee (or by WellPoint Health Networks Inc., pursuant to its normal communications with shareholders) of each occasion for the exercise of voting rights, within a reasonable time before those voting rights are to be exercised.

  • All Participants entitled to tender WellPoint Common Stock held by a WellPoint Common Stock Fund will be so notified by the Trustee (or by WellPoint Health Networks Inc.) within a reasonable time before the right to tender is to be exercised.

  • The Trustee will not permit Participants to direct the tender of WellPoint Common Stock, to the extent that the receipt or holding of the property offered in exchange for the shares would violate any applicable law, including ERISA.

  • The Committee will make investment decisions regarding any non-cash property received by a WellPoint Common Stock Fund as a result of a tender.

  • Cash dividends on WellPoint Common Stock will not be subject to the liquidation restrictions outlined in this Section.

  • Effective as of the first payroll period ending on or after January 1, 1998, all Participants eligible to receive an allocation of Matching Contributions as described in subsections (a) and (b) above will receive 33.33% of their Matching Contribution in the form of units of a WellPoint Common Stock Fund.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • SpinCo Common Stock means the common stock, par value $0.01 per share, of SpinCo.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Merger Sub Common Stock means the shares of common stock, par value $0.001 per share, of Merger Sub.

  • Holdings Common Stock means the common stock, par value $0.01 per share, of Holdings.

  • Parent Common Stock means the common stock, par value $.001 per share, of Parent.

  • Voting Common Stock means the Voting Common Stock, par value $.01 per share, of the Company.

  • Series A Common Stock means the Series A Common Stock, par value $0.01 per share, of the Company.

  • Surviving Corporation Common Stock has the meaning set forth in Section 1.7(a).

  • Series B Common Stock means the Series B Common Stock, par value $0.01 per share, of the Company.

  • Additional Common Stock herein shall mean in the most broadest sense all shares of Common Stock hereafter issued by the Borrower (including, but not limited to Common Stock held in the treasury of the Borrower and common stock purchasable via derivative security or option on the date of such grant ), except Common Stock issued upon the conversion of any of this Convertible Note or Warrant.

  • Pubco Common Stock means all classes and series of common stock of Pubco, including the Class A Common Stock and Class B Common Stock.

  • Non-Voting Common Stock means the Non-Voting Common Stock, par value $0.01 per share, of the Company.

  • Underlying Common Stock means the Common Stock into which the Notes are convertible or issued upon any such conversion.

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Class B Common Stock means the Class B common stock, par value $0.0001 per share, of the Company.

  • Parent Common Shares means the common shares of the Parent;

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • Parent Stock Plans has the meaning set forth in Section 4.5(a).

  • New Common Shares means the common stock or common equity of Reorganized XOG to be issued on the Effective Date.

  • Class D Common Stock means the Class D Common Stock, par value $0.01 per share, of the Company.

  • Seller Common Stock means the common stock, par value $0.01 per share, of Seller.

  • Fully-Diluted Common Stock means the outstanding Common Stock and the shares of Common Stock issued or issuable upon exercise of Warrants (assuming full exercise).
