Weighted Votes definition

Weighted Votes means, in relation to a Pool Member, the number of votes to which such Pool Member is entitled pursuant to Clause 11.2;
Weighted Votes has the meaning given to that term in Clause 6.8; and "Working Day" has the meaning given to that term in Section 64 of the Act for England and Wales. 1.2 In this Agreement, unless the context requires otherwise, any reference to: 1.2.1 a "person" includes a reference to an individual, body corporate, association or partnership; 1.2.2 the singular shall include the plural and vice versa; 1.2.3 this "Agreement" shall mean this agreement, the Schedules and the Annexure; 1.2.4 a Clause, Schedule or Part is a reference to a clause of or schedule to or part of this Agreement; 1.2.5 writing includes all methods of reproducing words in a legible and non-transitory form; 1.2.6 any statute or any other subordinate legislation, any other agreement or instrument shall be construed as a reference to that statute, subordinate legislation, other agreement or instrument as amended or re- enacted from time to time; 1.2.7 references to the masculine gender include the feminine gender. 1.3 The headings in this Agreement are for the ease of reference only and shall not affect its interpretation. 1.4 In this Agreement, references to "include" or "including" are to be construed without limitation to the generality of the preceding words. 1.5 The parties acknowledge and agree that the Pool Agent holds the benefit of this Agreement as trustee and agent for the Pool Members and each of them. 1.6 The Pool Agent shall be entitled to act for any or all purposes of this Agreement through any person from time to time nominated in writing by the Pool Agent to MEC as the Pool Agent's representative. Where more than one person is so nominated, the capacity or field in which each nominated person is acting shall be notified to MEC. 1.7 For the avoidance of doubt, nothing in this Agreement shall prejudice the rights of any Host PES under Schedule 6 of the Act. 2.

Examples of Weighted Votes in a sentence

  • If any person as is referred to in Clause 11.3.1(a) shall dispute the calculation of or the number of Weighted Votes accorded to it in accordance with Clause 11.3.1, such person may refer such dispute to the Director for determination, whose determination as to the calculation of or the number of Weighted Votes to which such person shall be entitled shall be final and binding for all purposes of this Agreement.

  • The Director may at any time by notice to the Executive Committee alter the calculation of Weighted Votes set out in Clauses 11.2.1 and 11.2.2 and/or the restrictions on Weighted Votes set out in Clause 11.4 if in his opinion such alteration is required to achieve fair representation for all Pool Members.

  • The Parties acknowledge that the application of Clauses 11.4.1 and 11.4.2 has been limited to named companies pending resolution of how (if at all) restrictions on Weighted Votes should apply to Generators with second tier supply businesses and to Suppliers with an interest in a generation business.

  • For the purposes of such vote, relevant Pool Members may cast only that number of Weighted Votes which they cast in favour of such Committee Member in his election pursuant to Clause 15.5 or 15.6.

  • The Executive Committee shall maintain, and retain for a period of not less than eight years, a register recording the Generator Weighted Votes and Supplier Weighted Votes of each Pool Member, which register shall be open for inspection by any Party at the office of the Secretary during normal business hours.

  • The Director may at any time by notice to the Executive Committee alter the calculation of Weighted Votes set out in Clauses 11.2.1 and 11.2.2 and/or the caps on Weighted Votes set out in Clauses 11.4.1 and 11.4.2 if, in his opinion, such alteration is required to achieve fair representation for all Pool Members.

  • The Executive Committee shall maintain, and retain for a period of not less than eight years, a register recording the Weighted Votes (as a Generator and as a Supplier) and Total Votes of each Pool Member, which register shall be open for inspection by any Party at the office of the Secretary during normal business hours.

  • If any Voting Paper is incorrectly completed or otherwise spoilt, the Moderator shall take no account of it or of the Weighted Votes purported to be cast by it in the conduct of the procedures set out in Clause 15.5 and/or 15.6.

  • At no time shall the aggregate number of Weighted Votes to which both Central Power Limited and Peterborough Power Limited (together with their respective affiliates and related undertakings) are entitled in their capacity as Generators under the foregoing provisions of this Clause 11 exceed 10 per cent.

  • Scottish Settlements shall maintain, and retain for a period of not less than seven (7) years, a register recording the Weighted Votes of a Non-Scottish Company Member, which register shall be made available to any Party by Scottish Settlements on payment of the relevant Standard Charge.

Related to Weighted Votes

  • Required Vote has the meaning ascribed thereto in Section 2.2(b);

  • Votes means the number of votes entitled to be cast generally in the election of Directors.

  • Weighted Average Price means, for any security as of any date, the dollar volume-weighted average price for such security on the Principal Market during the period beginning at 9:30:01 a.m., New York time (or such other time as the Principal Market publicly announces is the official open of trading), and ending at 4:00:00 p.m., New York time (or such other time as the Principal Market publicly announces is the official close of trading), as reported by Bloomberg through its “Volume at Price” function or, if the foregoing does not apply, the dollar volume-weighted average price of such security in the over-the-counter market on the electronic bulletin board for such security during the period beginning at 9:30:01 a.m., New York time (or such other time as such market publicly announces is the official open of trading), and ending at 4:00:00 p.m., New York time (or such other time as such market publicly announces is the official close of trading), as reported by Bloomberg, or, if no dollar volume-weighted average price is reported for such security by Bloomberg for such hours, the average of the highest Closing Bid Price and the lowest closing ask price of any of the market makers for such security as reported in the OTC Link or “pink sheets” by OTC Markets Group Inc. (formerly Pink OTC Markets Inc.). If the Weighted Average Price cannot be calculated for a security on a particular date on any of the foregoing bases, the Weighted Average Price of such security on such date shall be the fair market value as mutually determined by the Company and the Holder. If the Company and the Holder are unable to agree upon the fair market value of such security, then such dispute shall be resolved pursuant to Section 11 with the term “Weighted Average Price” being substituted for the term “Exercise Price.” All such determinations shall be appropriately adjusted for any stock dividend, stock split, stock combination, reclassification or other similar transaction during the applicable calculation period.[Signature Page Follows]

  • Volume Weighted Average Price means, for any security as of any date, the daily dollar volume-weighted average price for such security on the Primary Market as reported by Bloomberg through its “Historical Prices – Px Table with Average Daily Volume” functions, or, if no dollar volume-weighted average price is reported for such security by Bloomberg, the average of the highest closing bid price and the lowest closing ask price of any of the market makers for such security as reported in the "pink sheets" by Pink Sheets LLC.

  • Fully Diluted Weighted Average Basis means, when calculating the number of Outstanding Units for any period, a basis that includes (a) the weighted average number of Outstanding Units during such period plus (b) all Partnership Interests and Derivative Partnership Interests (i) that are convertible into or exercisable or exchangeable for Units or for which Units are issuable, in each case that are senior to or pari passu with the Subordinated Units, (ii) whose conversion, exercise or exchange price, if any, is less than the Current Market Price on the date of such calculation, (iii) that may be converted into or exercised or exchanged for such Units prior to or during the Quarter immediately following the end of the period for which the calculation is being made without the satisfaction of any contingency beyond the control of the holder other than the payment of consideration and the compliance with administrative mechanics applicable to such conversion, exercise or exchange and (iv) that were not converted into or exercised or exchanged for such Units during the period for which the calculation is being made; provided, however, that for purposes of determining the number of Outstanding Units on a Fully Diluted Weighted Average Basis when calculating whether the Subordination Period has ended or Subordinated Units are entitled to convert into Common Units pursuant to Section 5.7, such Partnership Interests and Derivative Partnership Interests shall be deemed to have been Outstanding Units only for the four Quarters that comprise the last four Quarters of the measurement period; provided, further, that if consideration will be paid to any Group Member in connection with such conversion, exercise or exchange, the number of Units to be included in such calculation shall be that number equal to the difference between (x) the number of Units issuable upon such conversion, exercise or exchange and (y) the number of Units that such consideration would purchase at the Current Market Price.

  • Weighted Average Yield means with respect to any Loan, on any date of determination, the weighted average yield to maturity, in each case, based on the interest rate applicable to such Loan on such date and giving effect to all upfront or similar fees or original issue discount payable with respect to such Loan.

  • Weighted Average Life means, as of any date, with respect to any debt security, the quotient obtained by dividing (i) the sum of the products of the number of years from such date to the dates of each successive scheduled principal payment (including any sinking fund payment requirements) of such debt security multiplied by the amount of such principal payment, by (ii) the sum of all such principal payments.

  • Weighted Average Life Test means, as of any date of determination, that the Weighted Average Life of all Eligible Loan Assets is equal to or less than 6.0 years.

  • Total Voting Power means, with respect to any Person, the total number of votes which may be cast in the election of directors of such Person at any meeting of stockholders of such Person if all securities entitled to vote in the election of directors of such Person (on a fully diluted basis, assuming the exercise, conversion or exchange of all rights, warrants, options and securities exercisable for, exchangeable for or convertible into, such voting securities) were present and voted at such meeting (other than votes that may be cast only upon the happening of a contingency).

  • Weighted Average SOFR means the arithmetic mean of SOFR in effect for each Business Day during the relevant Interest Period, calculated by multiplying the relevant SOFR by the number of calendar days such SOFR is in effect, determining the sum of such products and dividing such sum by the number of calendar days in the relevant Interest Period, provided however that during a Suspension Period, the SOFR for each day during that Suspension Period will be the value for the Business Day immediately prior to the first day of such Suspension Period. For purposes of this provision “Suspension Period” is the number of Business Days prior to the end of the relevant Interest Period as specified in the applicable pricing supplement.

  • Multiple Voting Shares means the multiple voting shares in the capital of the Corporation;

  • Maximum Weighted Average Life Test means a test that will be satisfied on any date of determination if the Weighted Average Life of all Eligible Collateral Obligations included in the Collateral is less than or equal to 5.50 years.

  • Weighted Average means a ratio of the weight of the investment by the financial market participant in an investee company in relation to the enterprise value of the investee company;

  • Class A Preferred Stock means the Class A Preferred Stock of the Company, par value $0.0001 per share.

  • Special Voting Share means the one share of Series B Special Voting Preferred Stock with no par value, issued by US Gold to and deposited with the Trustee, which entitles the holder of record to a number of votes at meetings of holders of US Gold Common Stock equal to the number of Exchangeable Shares outstanding from time to time that are held by Non-Affiliated Holders.

  • Class LT-R Interest The residual interest in the Lower-Tier REMIC as described in the Preliminary Statement and the related footnote thereto.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Class A Shares means Class A ordinary shares, par value US$0.0001 per share, in the share capital of the Company.

  • Remaining Weighted Average Life of an Equipment Note, at the redemption date of such Equipment Note, means the number of days equal to the quotient obtained by dividing: (i) the sum of the products obtained by multiplying (A) the amount of each then remaining installment of principal, including the payment due on the maturity date of such Equipment Note, by (B) the number of days from and including the redemption date to but excluding the scheduled Payment Date of such principal installment by (ii) the then unpaid principal amount of such Equipment Note.

  • Weighted Average Coupon means, with respect to Fixed Rate Obligations (excluding Defaulted Loans), as of any date, the number obtained by:

  • Per Share Amount has the meaning set forth in Section 2.2.1 hereof.

  • Combined Voting Power means the aggregate votes entitled to be cast generally in the election of the Board of Directors, or similar managing group, of a corporation or other entity by holders of then outstanding Voting Securities of such corporation or other entity.

  • Weighted Average Life to Maturity means, when applied to any Indebtedness at any date, the number of years obtained by dividing: (a) the sum of the products obtained by multiplying (i) the amount of each then remaining installment, sinking fund, serial maturity or other required payments of principal, including payment at final maturity, in respect thereof, by (ii) the number of years (calculated to the nearest one-twelfth) that will elapse between such date and the making of such payment; by (b) the then outstanding principal amount of such Indebtedness.
