Warranty Conditions definition

Warranty Conditions means the warranty terms and conditions in this booklet; and
Warranty Conditions means the warranty conditions of Esdec in respect of the Products which apply at the date of delivery thereof under an Agreement, as set forth from time to time on the Website.

Warranty Conditions. The limited warranty described herein is valid only in the United States of America. The limited warranty described herein will not apply to any of the Equipment: (a) purchased from a third-party other than an authorized dealer or distributor therefor; (b) with a factory-applied serial number that has been altered or removed; or (c) sold as used, refurbished, or that is so called “B stock” or consumables (such as batteries). The limited warranty described herein only applies if Customer notifies Smart Farm Systems in writing of the warranty breach before the expiration of the applicable warranty period. Without in any way limiting the generality of the other provisions in the Agreement, the limited warranty described herein does not apply to claims arising out of or relating to: (i) Customer’s or any third party’s negligence, abuse, misapplication or misuse of the Equipment or Smart Farm Software, including any use of the Equipment or Smart Farm Software other than as expressly authorized by Smart Farm Systems in writing, including, without limitation, in Smart Farm Systems’ operating instructions for such Equipment or Smart Farm Software or the Documentation; (ii) any Equipment or Smart Farm Software that is modified by Customer or its representatives; (iii) third party installation of the Equipment or Smart Farm Software; (iv) any third party equipment or software that is operated with or incorporated into the Equipment or Smart Farm Software; (v) Customer’s failure to promptly install all updates to Smart Farm Software that Smart Farm Systems has previously made available to Customer; (vi) Customer’s breach of any provision of any term or condition set forth in the Agreement; (vii) an End User’s breach of any term or condition set forth in the XXXX; and (viii) acts of God, failure of electrical, internet or telecommunications service, fire, floods, earthquakes, lightning, accidents or any other circumstances or causes outside of the reasonable control of Smart Farm Systems. Online Sales. Without exception, the Equipment is not authorized for online sales. Equipment purchased online is not covered by the limited warranty described herein. Warranty Conditions means any conditions and limitations applying to the warranties given inthese Conditions, including (but not limited to) such limitations specified in Conditions 5.4 to 5.6,Condition 5.14, Condition 5.16 and Condition 13; and

Equipment may not be returned unless the OEM has issued a Return Authorization (“RA”). Equipment returned without a RA is considered unauthorized and will not be accepted. Equipment returns due to defective Equipment are subject to the OEM’s warranty. If a RA is issued for Equipment returned without cause, the Customer will be invoiced for, and is required to pay, return shipping charges, the OEM’s restocking fee, and any charges incurred by SKC for such return. Services Warranty. SKC warrants to Customer that any Services performed by SKC or its subcontractors will be carried out in a professional and workmanlike manner by qualified personnel in accordance with the specifications set forth in the SOW. If the Services have not been so performed, and SKC receives Customer’s detailed request to cure a non−conformance within 30 days of acceptance of the Services, SKC will promptly re−perform those Services as Customer’s sole and exclusive remedy for a breach of the foregoing warranty.
