All Warrants Shares shall, upon such issue, be duly and validly issued and fully paid and non-assessable.
The Company will reserve and keep available a sufficient number of Warrant Shares for the purpose of enabling the Company to satisfy its obligations to issue Common Shares upon the exercise of the Warrants, and all Warrants Shares shall, when issued as provided herein, be valid and enforceable against the Company.

The Company shall honor exercises of the Class A Warrants, Class B Warrants and Pre-Funded Warrants and shall deliver Class A Warrants Shares, Class B Warrants Shares and Pre-Funded Warrants Shares in accordance with the terms, conditions and time periods set forth in the Transaction Documents.
All Warrants Shares allotted and issued will rank pari passu with the fully paid Shares in issue on the relevant Subscription Date.
