Warrant Exercise Period definition

Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:
Warrant Exercise Period for all Warrants commences (subject to Section 6.4 below) on the later of: (A) the date that is one year from the date that the Registration Statement is declared effective by the Securities and Exchange Commission (the “Effective Date”) or (B) the date on which the Company consolidates each of its series of common stock into one class of common stock after it completes its Initial Acquisition Transaction, post-acquisition tender offer, or post-acquisition automatic trust liquidation, as the case may be, and ends on the earlier of: (A) the date that is five years from the Effective Date or (B) the trading day preceding the date on which such Warrants are redeemed pursuant to Section 6.2 below, or (C) upon the dissolution and winding up of the Company.
Warrant Exercise Period means the period beginning on the Initial Exercise Date and ending at 5:00 P.M. (E.S.T.) on the Expiration Date.

Examples of Warrant Exercise Period in a sentence

  • In the event the Warrant Holder(s) do not exercise Warrants within the Warrant Exercise Period, the Warrants shall lapse and the amount paid shall stand forfeited by the Company.
