Warehouse Note: Any Series of Notes that has a revolving period during which periodic payments of principal are not scheduled to be paid.
Each prospective initial Noteholder and each Prospective Owner of a Warehouse Note will be deemed to have represented and warranted by such purchase that it is not acquiring the Warehouse Note with the plan assets of a Benefit Plan Investor.
Any such recordation in accordance with the terms of this Credit Agreement shall be conclusive and binding on the Company absent manifest error; provided, that failure to make any such recordation, or any error in such recordation, shall not affect the Company's obligation to repay all Warehouse Advances to the Bank in accordance with this Credit Agreement and the Warehouse Note.
