Voting Shareholder definition

Voting Shareholder means a holder of Voting Shares.

Voting Shareholder shall have the meaning set forth in the preamble.

• CONVERSION LIMITATIONS Before any Multiple Voting Shareholder shall be entitled to convert Multiple Voting Shares into Subordinate Voting Shares, the Board of Directors (or a delegated committee thereof) shall designate an officer of the Corporation to determine if any Conversion Limitation set forth in this Section 6 shall apply to the conversion of Multiple Voting Shares.

• Such conversion shall be deemed to have been made immediately prior to the close of business on the date of such surrender of the Proportionate Voting Shares to be converted, and the Proportionate Voting Shareholder or Proportionate Voting Shareholders entitled to receive the Subordinate Voting Shares issuable upon such conversion shall be treated for all purposes as the record holder or holders of such Subordinate Voting Shares as of such date.
