Voting Director definition

Voting Director means a director of the Board designated a Voting Director pursuant to the Agreement.
Voting Director has the meaning set forth in Section 8.1(b).
Voting Director means a director that is entitled to vote at a meeting of directors.

All shares entitled by the articles of incorporation or the Act to vote generally on the matter are for that purpose a single voting group.

  • Series B Director means any director of the Company that the holders of record of the Series B Preferred Stock are entitled to elect, exclusively and as a separate class, pursuant to the Certificate of Incorporation.
