Voting Common Units definition

Voting Common Units means the Full-Voting Common Units and Reduced-Voting Common Units that are entitled to vote.
Voting Common Units has the meaning set forth in Section 3.2(f)(ii). “Voting Conversion Notice” has the meaning set forth in Section 3.10(e)(ii)(A).
Voting Common Units means the units of limited liability company interests as defined in the limited liability company agreement of RG dated as of June 10, 2011, as amended.

Examples of Voting Common Units in a sentence

  • In the event of any conversion to Common Units of any Class C Units, Class C-1 Units shall be converted into Voting Common Units, and Class C-2 Units shall be converted into Nonvoting Common Units.

  • For the avoidance of doubt, a holder of Non- Voting Common Units may pledge any Non-Voting Common Units in connection with a bona fide loan or other extension of credit entered into by such holder.

  • The Liquidator (if other than the General Partner) shall agree not to resign at any time without fifteen (15) days’ prior notice and may be removed at any time, with or without cause, by notice of removal approved by holders of at least a majority of the Outstanding Common Units and Special Voting Units, voting together as a single class (including Series A Preferred Units, as provided in Section 5.8(b)(iii)(A), but excluding all Non- Voting Common Units).

  • The Liquidator (if other than the General Partner) shall be entitled to receive such compensation for its services as may be approved by holders of at least a majority of the Outstanding Common Units and Special Voting Units, voting together as a single class (including Series A Preferred Units, as provided in Section 5.8(b)(iii)(A), but excluding all Non- Voting Common Units).

  • The Company may issue Preferred Series A-1 Non-voting Membership Interests, Voting Common Units, and such other series and/or class of securities designated by the Manager.

  • Except as otherwise provided herein, including Section 5.9, or any other Company Plan (or related grant or award agreement) or as approved by the Board, each Reduced-Voting Common Unit shall be identical to the Full-Voting Common Units in all respects and shall entitle the holder thereof to the rights, interests, preferences and privileges of a holder of a Common Unit as set forth herein (other than the Reduced-Voting Common Units shall not have equivalent voting rights as Full- Voting Common Units).

  • Other than their interest in the Company, Members will have no interest in any entities or ventures formed or developed by the holders of the Class A Voting Common Units.

  • If at any time a vacancy is created on the Board of Managers by reason of the death, removal or resignation of any Manager, a designee appointed to fill such vacancy or vacancies shall only be made by the holders of the Class A Voting Common Units.

  • The Board of Managers and holders of the Class A Voting Common Units will continue to engage in complementary activities that do not compete with the Company’s Business, including without limitation, the Jet Charter Operations.


More Definitions of Voting Common Units

Voting Common Units means the Full-Voting Common Units and Reduced- Voting Common Units that are entitled to vote.

  • Voting Common Stock means the Voting Common Stock, par value $.01 per share, of the Company.

  • Voting Preferred Stock means, with regard to any election or removal of a Preferred Stock Director (as defined in Section 8(b) below) or any other matter as to which the holders of Series E are entitled to vote as specified in Section 8 of this Certificate of Designations, any and all series of Preferred Stock (other than Series E) that rank equally with Series E either as to the payment of dividends or as to the distribution of assets upon liquidation, dissolution or winding up of the Corporation and upon which like voting rights have been conferred and are exercisable with respect to such matter.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.

  • Voting Share means (i) a Common Share of the Company and (ii) any other share of capital stock of the Company entitled to vote generally in the election of directors or entitled to vote together with the Common Shares in respect of any merger, consolidation, sale of all or substantially all of the Company's assets, liquidation, dissolution or winding up. References in this Agreement to a percentage or portion of the outstanding Voting Shares shall be deemed a reference to the percentage or portion of the total votes entitled to be cast by the holders of the outstanding Voting Shares.
