Vested Performance Shares. Provided that the Participant’s Service has not terminated prior to the Performance Share Vesting Date, except as provided by the Agreement, on the Performance Share Vesting Date the number of Vested Performance Shares (not to exceed the Maximum Number of Performance Shares) shall be determined by multiplying the Target Number of Performance Shares by the Pre-Tax Operating Income Multiplier (as defined by the Agreement).
Vested Performance Shares means the shares of Common Stock awarded to the Participant following the Participant’s satisfaction of the vesting provisions of Section 4 and, if applicable, the determination by the Committee of the extent to which the Company has achieved the Performance Goals for the Performance Cycle pursuant to Section 3.

No dividend equivalent payments will be made with respect to Performance Shares that do not become Vested Performance Shares pursuant to this Agreement.
Notwithstanding the foregoing, settlement of the Vested Performance Shares described in Section 3(c) and Section 3(d) are conditioned on Employee’s execution and delivery to the Company of a general release of claims in a form reasonably prescribed by the Company (the “Release”) and such Release becoming irrevocable within sixty (60) days following the date of termination.
The Company will use its reasonable commercial efforts to assure that all Shares issued in settlement of Vested Performance Shares pursuant to this Agreement are registered under the federal securities laws.
More Definitions of Vested Performance Shares
Vested Performance Shares means the Performance Shares (if any) that become vested under this Agreement based on both the applicable performance and service vesting conditions.
Vested Performance Shares means Performance Shares that are eligible for redemption. Each Performance Share Series becomes eligible for redemption four years after issuance. Thus, a Participant may exercise 100% of their Performance Shares that have been held for four years.

Notwithstanding the foregoing, if the number of Vested Performance Shares determined based on the above is zero because both the Pre-Tax Operating Income and the Net Revenue Multipliers are below the minimum necessary for the Performance Shares to become Vested Performance Shares, then up to 50% of the Target Number of Performance Shares may become Vested Performance Shares based on the Fiscal Year _____ Operating Income Multiplier (as defined in the Agreement).
Vested Performance Shares means shares of Performance Shares that are not subject to forfeiture under the terms of this Agreement. To the extent there is a conflict between the definition given to a defined term in this Agreement, the Plan and the Employment Agreement, the definition in the Employment Agreement shall control, or if no definition is contained in the Employment Agreement, the definition in the Plan shall control.
