Vessel C definition

Vessel C means the 157,000 dwt suezmax tanker “Xxxxxx Xxxxxxx” built in 2013 and registered in the name of the Vessel C Owner in the Maltese ship registry.
Vessel C means the m/v Navios Primavera, an ultra handymax bulk carrier of about 53,464 dwt, built 2007, presently registered under Panamanian flag in the ownership of the relevant Seller and chartered by the Head Owner to Navios Handybulk pursuant to the Vessel C Charter-in, which may be acquired by the Borrower C following the exercise by Navios Handybulk of the Vessel C Purchase Option and nomination of the Borrower C as buyer of the Vessel C under relevant MOA and (following such acquisition) registered in the ownership of the Borrower C under the same name and under the laws and flag of the relevant Flag State;
Vessel C means a newbuilding handysize dry bulk carrier of approximately 32,000 dwt to be constructed and equipped by the Newbuilding Sellers and is expected to be delivered in September 2008. It is currently expected that Vessel C will be registered upon its delivery under the laws and flag of Hong Kong; and

  • Borrower shall have paid (A) a commitment fee of one percent (1%) of the Advance (the “Commitment Fee”), (B) Lender’s reasonable expenses incurred for inspecting and appraising the Vessel, (C) all filing and recording fees, and all stamp and other taxes payable with respect to the consummation of the transactions as contemplated in this Agreement, and (D) Lenders’ reasonable attorneys’ fees and other expenses incurred as of Closing in connection with the transactions contemplated in this Agreement.

  • The Lenders, relying upon each of the representations and warranties in Clause 4 and subject to Clause 3, agree to make Advance E available to the Borrower upon and subject to the terms of this Agreement and the Facility Agreement to enable the Borrower to on-lend the same to Sagittarius, Palermo and Hyperion to refinance in part the purchase of Vessel A, Vessel B and Vessel C.
