Vendor Employees definition

Vendor Employees means those employees of Affiliates of the Acquired Companies set forth on Section 1.1-VE of the Seller Disclosure Schedule. Section 1.1-VE of the Seller Disclosure Schedule may be updated by Seller from time to time prior to the Closing Date; provided that except as expressly permitted by Section 6.1(a)(xiii), or to reflect voluntary departures, any such updates shall require the written consent of Buyer, which shall not be unreasonably withheld, conditioned or delayed. In addition, Seller shall provide Buyer with an updated Section 1.1-VE of the Seller Disclosure Schedule as and when reasonably requested by Buyer through the Closing Date.
Vendor Employees means employees of the Vendor employed in the Business as of the date of this Agreement, whose names and material terms of employment (including current wages, salaries or hourly rate of pay and bonus paid or payable to each such employee) are set forth in Schedule 1.1.58; and
Vendor Employees means all employees on roll with the appointed vendor deputed to Accelya, working onsite or offsite.

  • NYC Health + Hospitals may terminate this Agreement immediately without liability for any damages resulting therefrom should Vendor or Vendor Employees be excluded from participation in federal or state health care programs.

More Definitions of Vendor Employees

Vendor Employees means all of the employees and directors of the Vendor as at the day of this Agreement, which will be dealt with by the Parties in accordance with the provisions of Section 16.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Former Employees means a former member of management of Icahn Enterprises (or any of its Subsidiaries (including any Guarantors)), other than the Principal, who voluntarily or upon any other termination is no longer employed by any of Icahn Enterprises or any of its Subsidiaries (including any Guarantors) and who holds Equity Interests that are required to be redeemed or purchased pursuant to any contractual requirements upon such termination of employment.

  • Designated Employees means a person occupying any of the following position in the Company:

  • Current Employees has the meaning set forth in Section 6.4(a).

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Contractor employee means prime Contractor and subcontractor employees who require agency access to perform work under a CMS contract.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Company Personnel means any current or former officer, employee, director or consultant of the Company or any of its Subsidiaries.

  • Senior Employee means a person who, at any time during the last twelve months of Executive’s period of employment hereunder:

  • Prime Contractor employee, as used in this clause, means any officer, partner, employee, or agent of a prime Contractor.

  • Transferring Former Supplier Employees in relation to a Former Supplier, those employees of the Former Supplier to whom the Employment Regulations will apply on the Relevant Transfer Date; and

  • Key Employees means each of the following individuals: Xxx Xxxxxxx, Xxxxx Xxxxxxxx, Xxxxx Xxxxxx and Xxxxx Xxxxxxx.

  • Company Employee means any current or former employee, independent contractor or director of the Company or any Company Affiliate.

  • Subcontractor employee, as used in this clause, means any officer, partner, employee, or agent of a subcontractor.

  • Relevant Employees means the employees of the Contractor (including the Transferring Employees) who are wholly or mainly assigned to work in the provision of the Services and who are/will be the subject of a Relevant Transfer by virtue of the application of the TUPE Regulations.

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Employees Stock Option” means the option given to the directors, officers or employees of a company or of its holding company or subsidiary company or companies, if any, which gives such directors, officers or employees, the benefit or right to purchase, or to subscribe for, the shares of the company at a future date at a pre-determined price.
