Value Units definition

Value Units means a sub-class of Override Units, as described in Section 3.2(b). [Signature page follows]

Value Units. (which Value Units, as described below, will consist of Value A Units, Value B Units, Value C Units and Value D Units). Common Units and Value Units are referred to herein collectively, as the “Units”. Unless and until the Board shall determine otherwise, the Units shall each be uncertificated and recorded in the books and records of the LLC (including Schedule A). The LLC may, in its sole discretion, issue certificates to the Unitholders representing the Units held by each Unitholder. To the extent that the holder of a Unit is required by the other provisions of this Agreement to deliver or surrender such holder’s certificates representing Units, then, in the event that the Units are not certificated by the LLC, the LLC will provide appropriate forms or documents (regarding the conveyance of such Units, and all right, title and interest thereto) to be completed and delivered by such holder in lieu thereof. The Board may determine the conditions upon which a new certificate may be issued in place of a certificate that is alleged to have been lost, stolen or destroyed and may, in its discretion, require the owner of such certificate or its legal representative to give an agreement of indemnity or a bond, with sufficient surety, to indemnify the LLC and each transfer agent and registrar agent, if any, against any and all losses and claims that may arise as a result of the issuance of a new certificate in place of the one so lost, stolen or destroyed.   • Core Units means such Units of the Trust that are issued to Core Investors with the condition that these are not redeemable for a period of two years from the close of the First Offer Period. Such Units are transferable with this condition, but otherwise shall rank pari passu with all other Units, save for this restriction. Any transfer of the Core Units, during the first two years of their issue as mentioned herein, shall be affected only on the receipt by the Registrar of a written acceptance of this condition by the transferee.
